English summary: Starting with the passing of the Code de Commerce in 1807, which still claims validity in parts of Germany as well, the authors of this volume do a comprehensive reappraisal of the history of German corporate law. The year 1873 was one of financial crisis. A boom in railway construction had spurred a bull market—but when the boom turned to bust, transatlantic panic quickly became a worldwide economic downturn. In Transatlantic Speculations, Hannah Catherine Davies offers a new lens on the panics of 1873 and nineteenth-century globalization by exploring the ways in which contemporaries experienced a tumultuous period that profoundly challenged notions of economic and moral order. Considering the financial crises of 1873 from the vantage points of Berlin, New York, and Vienna, Davies maps what she calls the dual “transatlantic speculations” of the 1870s: the financial speculation that led to these panics as well as the interpretative speculations that sprouted in their wake. Drawing on a wide variety of sources—including investment manuals, credit reports, business correspondence, newspapers, and legal treatises—she analyzes how investors were prompted to put their money into faraway enterprises, how journalists and bankers created and spread financial information and disinformation, how her subjects made and experienced financial flows, and how responses ranged from policy reform to anti-Semitic conspiracy theories when these flows suddenly were interrupted. Die Besteuerung der Personengesellschaft spielt im deutschen Steuerrecht eine herausragende Rolle, zumal der Typus «Personengesellschaft» in Deutschland weit verbreitet ist. Im internationalen Steuerrecht führt die Behandlung von Personengesellschaften häufig zu Qualifikationskonflikten hinsichtlich des Steuersubjekts und des Steuerobjekts, da die gesellschafts- und steuerrechtliche Behandlung von Personengesellschaften im Ausland erheblich von der deutschen Rechtslage abweichen kann und zudem das deutsche Recht der Mitunternehmerbesteuerung zahlreiche Besonderheiten kennt. Diese Arbeit befasst sich mit der ertragsteuerrechtlichen Behandlung ausländischer Personengesellschaften im internationalen Steuerrecht, wobei zwei Konstellationen unterschieden werden: Erstens in Deutschland tätige Personengesellschaften ausländischen Rechts und zweitens ausländische Personengesellschaften mit (teilweise) in Deutschland ansässigem Gesellschafterkreis. Der Schwerpunkt der Arbeit liegt auf der dogmatischen Auseinandersetzung mit der Auslegung der entsprechenden abkommensrechtlichen Normen, insbesondere betreffend die sogenannte Abkommensberechtigung der Personengesellschaft und die abkommensrechtliche Qualifikation der Einkünfte der Gesellschafter.

Denn obwohl die Zivilrechtsordnung bei einer Fehlerhaftigkeit eines Rechtsgeschäfts jedenfalls im Grundsatz die fehlende Wirksamkeit oder die Möglichkeit einer Aufhebung des Rechtsverhältnisses vorsieht, werden diese Rechtsfolgen durch das Rechtsinstitut der Heilung teilweise erheblich eingeschränkt. Abgesehen von wenigen einzelnen Regelungen im allgemeinen Zivilrecht ist das Rechtsinstitut der Heilung nicht generell für die gesamte Zivilrechtsordnung kodifiziert, findet sich aber in nahezu jedem Teilgebiet des Zivilrechts. Sebastian Mock untersucht das Konzept der Heilung anhand dieser einzelnen (besonderen) Regelungen und entwickelt aus diesen allgemeine Grundsätze für die Heilung fehlerhafter Rechtsgeschäfte.

Wendelin Mayer's comparative study aims at breaking this seemingly bewitching spell of linguistic confusion and establishing a common European starting point for autonomous interpretation.
