- Nel diritto vivente la società di fatto rappresenta una mera modalità di costituzione dei tipi societari previsti dal Codice civile, alternativo alla forma scritta. Nel diritto tributario, invece, a seguito di una particolare attenzione del legislatore fiscale verso i fenomeni di natura fattuale, il soggetto societario costituito per facta concludentia è enunciato nei testi di legge che disciplinano i principali tributi, al pari delle altre tipologie societarie. Il volume, composto da cinque capitoli, parte da queste premesse per offrire un contributo allo studio degli aspetti di natura fiscale attinenti ad un soggetto societario costituito per fatti concludenti. In ordinary law, the de facto company is not mentioned in the legal texts but represents a way of constituting one of the types of partnership provided for in Article 2249 of the Civil Code, as an alternative to incorporation in writing. In tax law, due to a particular attention of the tax legislator towards phenomena of a factual nature, the de facto company is included in the legal texts governing the main taxes, like other types of company.
