Das private Organisationsrecht führt ein Schattendasein. Das Amt als privatrechtliche Rechtsfigur blieb bislang unentdeckt. Wie wird das Handeln von Amtswaltern dem Rechtssubjekt, dem das Amt zugeordnet ist, zugerechnet und welche Konsequenzen ergeben sich daraus im Einzelnen? Antworten auf diese Fragen beschränken sich meist auf Verweise auf das allgemeine Stellvertretungsrecht. Florian Jacoby widmet sich der Rechtsfigur des privaten Amtes, wie es etwa bei Vormund, Betreuer, Pfleger, Nachlassverwalter, Testamentsvollstrecker, Vorstand, Geschäftsführer, Aufsichtsrat, Wohnungseigentumsverwalter, Insolvenzverwalter und Zwangsverwalter vorkommt. Diese Ämter haben die Funktion, in institutioneller Weise Dritte, nämlich die Amtswalter, in Handlungsorganisationen einzubinden. Sie sind als Vertreter, Organ oder Partei kraft Amtes ausgestaltet. Der Autor betrachtet die einheitliche Problemstruktur der Ämter, die sich mit den Stichworten Außenverhältnis, Organisationsverhältnis und Grundverhältnis skizzieren lässt. Er zeigt, dass der Institution 'Amt' selbst die Stellung eines apersonalen Subjekts zukommen kann und verdeutlicht so die allgemein anerkannte, in ihrer Bedeutung aber bislang unterschätzte Trennung von Amt und Amtswalter. Dieses Verständnis trägt dem Umstand Rechnung, dass nur das Amt dauerhafter Bestandteil der jeweiligen Handlungsorganisation ist. Des Amtswalters bedarf es nur, um die dauerhaft im Amt zusammengefassten Kompetenzen konkret auszuüben.
