Inhaltsangabe:Einleitung: Die Gesellschaft mit beschränkter Haftung ist in Deutschland eine juristische Person des Privatrechts. Die GmbH ist der Sparte der Kapitalgesellschaften zuzuordnen. Die GmbH ist heutzutage die am häufigsten gewählte Rechtsform, deren Zahl am Ende des Jahres 2007 über 1 Million liegt. Gründe, die für ihre Beliebtheit sprechen sind vor allem die Haftungsbeschränkung auf das Gesellschaftsvermögen sowie die hohe Flexibilität der Satzungsgestaltung. Die GmbH ist ein rechtlicher Rahmen für eine Vielzahl von Unternehmensformen beziehungsweise -branchen. Sie ist als juristische Person selbstständige Trägerin von Rechten und Pflichten, sie kann im eigenen Namen Rechte erwerben und Pflichten begründen, Verträge abschließen und vor Gericht klagen und verklagt werden, § 13 I GmbHG. Sie ist jedoch als bloße Fiktion nicht in der Lage Vorhaben in die Tat umzusetzen und bedarf daher der Hilfe Dritter. Diese Hilfe wird durch die Organe der GmbH ausgeübt, die Gesellschafterversammlung, die den Willen bildet und den Geschäftsführer, der diesen Willen verwirklichen soll. Die Gesellschafter sowie der Geschäftsführer haben den Rahmenbedingungen gerecht zu werden und müssen mit den verschiedensten Situationen umgehen können. Die Gesellschafter und der Geschäftsführer werden mit einem beträchtlichen Maß an Rechten und Pflichten konfrontiert. Dem Geschäftsführer obliegen als leitendem Manager zahlreiche Gestaltungsmöglichkeiten, um sein Amt ordnungsgemäß ausüben und seine Handlungsspielräume perfekt ausnutzen zu können. Der Gesellschafter ist hingegen nicht nur der Kapitalgeber, sondern auch Weisungsgeber für die Einflussnahme auf die Geschäftspolitik. In der Krise haben sowohl die Gesellschafter als auch der Geschäftsführer, zahlreiche rechtliche Interessen verschiedener Personen innerhalb und außerhalb der GmbH zu beachten. Von ihrem Verhalten ist die GmbH abhängig, in welche wirtschaftliche Richtung sich diese bewegt. Gesellschafter oder Geschäftsführer ohne ausreichende juristische Bildung können leicht in Schwierigkeiten geraten, bis hin zur zivil- als auch strafrechtlichen Haftung. In der folgenden wissenschaftlichen Arbeit werden die Rechte und Pflichten des Geschäftsführers und der Gesellschafter in der Krise anhand neuester Rechtsprechung und Literatur konkretisiert.
