Inhaltsangabe:Einleitung: Das RG entschied im Jahre 1922, dass an einer Personengesellschaft auch juristische Personen (z.B. GmbH) eine Gesellschafterstellung einnehmen können. Auch der BGH hat sich der Auffassung des RG angeschlossen. Alsbald entwickelten sich Sonderformen von Mitunternehmerschaften, bspw. die GmbH & Co. KG als eine ganz besondere Rechtform. Aufgrund der möglichen Kombination von Vorteilen aus Kapitalgesellschaften und Personengesellschaften erringt die GmbH & Co. KG eine besondere Beliebtheit. Steuerrechtlich wurde diese ungewöhnliche Gesellschaftsform erst im Jahr 1929 vom RFH anerkannt. Ein wesentlicher Vorteil der GmbH & Co. KG liegt darin, dass keine natürliche Person, sondern die Komplementär-GmbH unbeschränkt mit ihrem Vermögen haftet. Hinzu kommt der ertragsteuerliche Vorteil. Denn gegenüber der normalen GmbH erweist sich die GmbH & Co. KG als ertragsteuerlich optimalere Alternative, sofern die Gewinne nicht thesauriert werden. Unter Annahme dieser Vorteile wird in der vorliegenden Arbeit die ertragsteuerliche Behandlung einer grenzüberschreitend tätigen GmbH & Co. KG betrachtet. Der Behandlung von Erträgen aus dem SBV I und II kommt hierbei eine besondere Bedeutung zu. Denn damit korrespondierende Qualifikationskonflikte auf Abkommensebene können den Kapitalfluss internationaler Unternehmen stark beeinflussen, wenn mithilfe gezielter internationaler Steuerplanung die Steuerbelastung des Gesamtunternehmens minimiert werden kann. Warum diese Qualifikationskonflikte entstehen, wie die Besteuerung auf Abkommensebene erfolgt und wie diese ggf. erzwungen und folglich ausgenutzt werden können, soll in den folgenden Abschnitten erläutert werden. Grundlage der in dieser Arbeit behandelten Fälle bildet eine grenzüberschreitende GmbH & Co. KG. Dabei ist ein deutscher Investor zu 100 % an einer deutschen GmbH beteiligt. Sowohl die GmbH als auch der Investor sind an einer KG im Ausland, mit dem ein DBA geschlossen wurde, beteiligt. Die Beteiligung der GmbH liegt bei 25 % um mit der Beteiligungshöhe das Schachtelprivileg zu erfüllen. Der Gesellschafter ist mit den übrigen 75 % an der KG beteiligt. Die Tätigkeit der GmbH beschränkt sich ausschließlich auf die Geschäftsführung der KG. Als Annahme gilt grds., dass das Ausland Personengesellschaften als transparent ansieht. Zusätzlich wird angenommen, dass dem Ausland jedoch das deutsche Mitunternehmerkonzept fremd ist. Außerdem wird unterstellt, dass die KG im Ausland gewerblich [...]
