Questo libro intende fornire gli strumenti per la valutazione di natura fondamentale di una banca, che nell’attuale contesto di mercato è divenuta particolarmente complessa. Ciò a causa sia dell’impossibilità di legare la valutazione ai multipli impliciti nei prezzi di borsa o a quelli di transazioni comparabili, sia a causa dell’elevata incertezza circa le aspettative di redditività e crescita del settore. I prezzi di borsa incorporano infatti elementi di natura speculativa che una valutazione di natura fondamentale dovrebbe escludere. Va rilevato poi che le transazioni aventi per oggetto pacchetti orientati al controllo di banche, stanno divenendo sempre più rare. Il libro si pone l'obiettivo di superare tali problemi oltre che di offrire gli strumenti utili ai fini di una stima fondata su un criterio di natura assoluta, che spaziano dalla scelta della formula valutativa, alla formulazione dei criteri per la stima dei redditi futuri, sino all'analisi dei metodi di stima del costo opportunità del capitale. L’approccio di analisi adottato è di tipo integrato, nel senso che descrive le coerenze che si rendono necessarie tra tutti questi elementi di stima.

"Es comúnmente reconocido que el contenido económico-social del derecho de obligación, al menos, en definitiva, es el interés a una prestación ajena: prestación que tiene por término de referencia una persona; en cambio, contenido del derecho real es el interés a una utilidad (derechos reales de goce) o a un valor (derechos reales de disposición), que tiene por término de refrenda la cosa misma de la cual ha de obtenerse la utilidad o realizar el valor. De lo que deriva que en la relación de obligación el interés del titular del derecho está destinado a realizarse, como antes habíamos precisado, por medio de un intermediario, a través de un comportamiento ajeno, de una actividad de cooperación; mientras que en la relación de derecho real el interés del titular está destinado a realizarse inmediatamente, sin intermediarios y, en todo caso, por la actividad del titular mismo. Pero esto no es todo: es el fenómeno, pero no la razón del fenómeno. Es claro que, también en el campo del Derecho privado, la obligación del sujeto positivo es, en la relación jurídica, el prius, y la correlativa expectativa del sujeto activo, el posterius. Pero cuando en la investigación de la relación jurídica se rebasa más allá de la fase de la exigibilidad, se percibe una fundamental diferencia entre el modo de constituirse la relación de obligación y el modo de constituirse la relación de derecho real. En la relación de obligación el prius lógico es verdaderamente —no de otro modo en la fase de exigibilidad— el lado pasivo, el vínculo ajeno (del deudor); el correlativo poder del que tiene el derecho es siempre el posterius. En cambio, en la relación de derecho real, el prius lógico es —a diferencia que en la fase de exigibilidad— el lado activo, el poder del titular, la pertenencia: la correspondiente exclusión de los demás es el posterius, la consecuencia".
