This study conducts a systematic review and provides a comprehensive up-to-date review of the literature about diversity on corporate boards. Unlike previous studies, we do not restrict our search to a specific type of diversity (e.g., gender diversity) or limited firm outcomes (e.g., firm performance). Our aim is to review, evaluate, synthesize, and summarize the literature and extend our knowledge on five key areas: 1) the theoretical approach (going beyond the theoretical analysis of each article by exploring how the theoretical perspective informs their focus); 2) dominant framing and theorizing (single theory vs multi-theories); 3) determinants and consequences; 4) how board diversity is defined and operationalized; and 5) the outcomes of board diversity. In reviewing the research from 2010 to February 2021 and using Saint Mary's University Business Source Premier (SMU EBSCO) database, we identify 46 articles. Our findings reveal that agency theory no longer dominates board diversity research and has given way to institutional theory. The increasing use of institutional theory, which considers the effect of social structure on organizational outcomes, may be caused by most of the literature (based on our findings) using cross-country data. At the same time, there is a tendency to use a more multi-theoretical approach rather than a single-theory one, and there are methodological limitations, including a paucity of rich data collection methods (e.g., surveys, questionnaires, and interviews). In addition, the current literature, according to the findings, focuses more on the consequences than the determinants of board diversity. Finally, our study intends to highlight and outline crucial research gaps that invite future investigation.

This Article describes the results from fifty-seven interviews with corporate directors and a limited number of other persons (including institutional investors, search firm personnel, and the like) regarding their views on corporate board diversity. It highlights numerous tensions in these views. Most directors, for instance, proclaim that diverse boards are good, but very few directors can articulate their reasons for this belief. Some directors have suggested that diverse boards work better than non-diverse boards, but gave relatively few concrete examples of specific instances where a female or minority board member made a special contribution related to that director's race or gender. Many directors noted the importance of collegiality and getting along in the boardroom, while simultaneously extolling the advantages of different perspectives in avoiding group think. Although all acknowledged the importance of fitting in, few considered whether this impeded the role of “outsiders” providing a diverse perspective. This Article also explores directors' thoughts on why progress in improving board diversity has been so slow if most agree that diversity is an important goal.

An empirically rich study of the influence of social networks on corporate governance across countries and the emergence of a new transnational community. The financial crisis of 2008 laid bare the hidden network of relationships in corporate governance: who owes what to whom, who will stand by whom in times of crisis, what governs the provision of credit when no one seems to have credit. This book maps the influence of these types of economic and social networks—communities of agents (people or firms) and the ties among them—on corporate behavior and governance. The empirically rich studies in the book are largely concerned with mechanisms for the emergence of governance networks rather than with what determines the best outcomes. The chapters identify “structural breaks”—privatization, for example, or globalization—and assess why powerful actors across countries behaved similarly or differently in terms of network properties and corporate governance.
