The supervisory part of the work is clearly in the focus of Union law, but also takes into account national specialties of Liechtenstein, Austria and Germany in addition to European legal acts. Thus, tokens and token-based business models are also examined in the light of European legal acts such as MiFIR, MiFID II, CRR, CRD IV, CSDR, EMIR, AIFMD, UCITSD, E-Money Directive II, PSD II, MAD/MAR, Prospectus Regulation, 5th AML Directive and other regulations, directives, as well as implementing regulations and delegated regulations. A special focus is placed on crypto exchanges and decentralized trading places (DEX). In addition, a focus will be placed on consumer law in terms of tokens and distance selling contracts, taking into account the Consumer Rights Directives. In this context, tokens as data or software and thus as digital content and consequently merchandise are also dealt with in more detail and the parallels to tokens as tokens with intrinsic value or virtual currencies in contrast to fiat money are shown. Furthermore, the author aims at explaining deposit business, e-money transactions and financial instruments as communicating vessels in contrast to virtual currencies. Although this is primarily a legal work, technical aspects of Distributed Ledger Technologies, such as the blockchain, smart contracts, agoric computing, self-sovereign identity, etc. - as far as this is necessary for the legal assessment - are also explained in more detail. The present discussion is to be understood as scientific work with practical relevance for advice in connection with blockchain based business models.

Introdução ao Blockchain A área de tecnologia nas empresas vem sofrendo grandes mudanças, nos últimos tempos. Antes elas possuíam datacenter, hoje trabalham e migram para o Cloud Computing, seja em rede privada ou pública, seja em servidor próprio ou de terceiros. Ao mesmo tempo, vem se aperfeiçoando a transparência nas empresas, a segurança da informação, a sua plena integridade e disponibilidade. Atualmente ter uma infraestrutura centralizada gera alto custo e aumento no tempo que um processo leva, pois se tem menos flexibilização do seu ambiente, deixando ele rígido demais para agilizar processos que poderiam ser feitos de maneiras muito mais práticas através de novos conceitos de descentralização, como cloud; e isso é um grande ônus para as empresas já que eleva seu mark-up. As companhias tentam de várias maneiras diminuir o seu custo, porém mantendo ou aumentando a produtividade, e com a mesma qualidade do serviço ou produto ofertado. Pode parecer contraditório esse pensamento de amenizar os custos, intensificar a produtividade e agregar qualidade. De fato é, pois seria impossível obter as três. A Fortune uma das mais respeitadas revistas de economia no mundo, em seu artigo sobre Blockchain publicada em Julho de 2016, informou que a partir de 2022 o Blockchain irá proporcionar economia anual de pelo menos US$22 bilhões por ano, simplesmente por eliminar alguns processos e por agilizar outros. Por exemplo, uma transferência internacional demora em média 3 dias para ser efetuada, com a adoção do Blockchain esse processo levaria no máximo alguns minutos. O principal impulsionador dessa tecnologia não é o Vale do Silício como de costume, mas sim o Wall Street, o principal centro e sustentáculo da economia mundial; e por que um setor cauteloso está investindo pesado em algo tão novo e pouco conhecido? A resposta é simples, Wall Street sabe da importância e relevância que o Blockchain terá na economia mundial, e outras grandes bolsas e sistemas econômicos importantes já começaram a trabalhar nas mudanças que estão por vir.
