English summary: Considering the practical aspects of a choice-of-law clause in favor of non-national norms such as the UNIDROIT Principles of International Commercial Contracts, Sven Schilf stresses the necessity of a clear definition of the term law which can be used as a basis for various instruments in private international law and international arbitration requiring a choice of law. The author develops a new understanding of the law, allowing the qualification of non-national norms as a positive law according to the conflict of law rules applied by government courts. This new understanding also enables the solution of many practical questions related to the application of non-national norms. The arguments presented here are based on classic civil law considerations and also on new developments in Anglo-American law. German description: Sven Schilf untersucht, ob nichtstaatliche Kodifikationen des Vertragsrechts auf rechtsvergleichender Grundlage wie die UNIDROIT Principles of International Commercial Contracts oder die Principles of European Contract Law von den Parteien - wie staatliches Recht - als auf den Vertrag anwendbares Recht bestimmt werden konnen. Bislang wird dies sowohl aus praktischen wie theoretischen Grunden uberwiegend abgelehnt. Grosstes Hindernis ist ein staatsfixiertes Rechtsverstandnis. Ausgehend von den praktisch bedeutenden Fragen der Vertragsgestaltung arbeitet der Autor nicht nur die Notwendigkeit einer Wahl nichtstaatlicher Regelwerke als Vertragsstatut heraus, sondern er zeigt zugleich die praktische Relevanz der Ungewissheit uber die rechtstheoretische Qualifikation nichtstaatlicher Regelwerke, insbesondere bei der Anerkennung und Vollstreckung von Schiedsspruchen, auf. Durch die umfassende Aufarbeitung der rechtsdogmatischen Grundlagen des Rechtsbegriffs wie auch der Parteiautonomie wird deutlich, dass auch ein positivistisches Rechtsverstandnis die Qualifikation nichtstaatlicher Regelwerke als Recht, gestutzt auf ihre Anwendung durch Schiedsgerichte, auch vor staatlichen Gerichten erlaubt. Das in dieser Untersuchung auf der Basis herkommlicher Dogmatik entwickelte Rechtsverstandnis fugt sich ohne weiteres in die international anerkannten Grundlagen des Internationalen Privatrechts ein und erlaubt damit ein uber die konkrete Norm hinausgehendes, ubergreifendes Rechtsverstandnis. Daruber hinaus lassen sich mit seiner Hilfe eine Vielzahl praktischer Anwendungsfragen vor staatlichen Gerichten wie Schiedsgerichten losen, die ebenfalls in diesem Buch behandelt werden.

If such privileges are granted nowadays, there has to be a strong justification for thus breaching the principal of equal treatment. All Intellectual Property rights, whether registered like Industrial Designs, Trade marks or not registered as Copyrights or Companies’ Goodwill (Passing off), create monopolies, since the right holder may prevent others from using his thought, the idea or invention. Since intellectual property is insubstantial and therefore not visible, on the other hand, these rights must be protected by the state in a different way than the rights of property or possession of tangible assets. It is easy and cheap to reproduce intellectual property and – prima faciebeneficial into the bargain. To develop intellectual property by one self is time-consuming and cost-intensive. But people stop doing so immediately if the result of their work is not protected against copying, as there is no incentive to create new intellectual property.
