Esta pesquisa tem o propósito de analisar a forma de intervenção do Poder Judiciário sobre a livre iniciativa e autonomia privada, especificamente no Direito Contratual no que tange às negociações comerciais. A temática se embasa, portanto, na constatação de que, diante das mudanças perpetradas nas relações comerciais, há que se analisar, sob o ponto de vista da livre iniciativa e da autonomia privada, até que ponto invocar princípios afetos ao Direito Civil é benéfico na interação de um negócio jurídico comercial, buscando-se, a partir daí, determinar e analisar os efeitos da intervenção do Poder Judiciário para colocar fim às lides. O objetivo geral do presente trabalho recai exatamente na compreensão sobre a aplicação das normas de Direito Civil aos contratos comerciais e os efeitos das intervenções nesse tipo de contrato, com a justificativa de proteção e revisão das negociações empresariais, analisando a adequação dos regramentos que hoje são utilizados, a eficiência dessa atuação e as estratégias com propostas para mitigação da insegurança jurídica decorrentes desta interferência. Por fim, debateu-se a adoção de outras alternativas, tanto pelo Estado quanto pelos próprios sujeitos privados, para mitigarem esse dirigismo exacerbado, desde que atendidos os critérios de aumento do protagonismo das partes, economia de tempo, redução de custos e soluções com maior qualidade técnica, com objetivo de trazer maior segurança jurídica para as relações empresariais.
