Appunti di Diritto Commerciale rappresenta un progetto innovativo nato dalla collaborazione tra l’Università degli Studi di Milano-Bicocca e alcuni studenti della facoltà di Economia. Questo progetto ha come obiettivo quello di fornire una prima base conoscitiva sui principali concetti di diritto commerciale. Gli Appunti sono stati pensati come strumento di supporto alla didattica, ideale per studenti che incontrano per la prima volta il diritto commerciale e che per tal motivo necessitano di materiale che sia allo stesso tempo puntuale, completo e semplice. Si è cercato di unire il rigore che il diritto (commerciale) esige alla chiarezza nel linguaggio che risulta fondamentale per la comprensione del testo. Per lo stesso motivo, ove è stato possibile, sono stati inseriti esempi concreti al fine di rendere più efficace la comprensione delle norme e degli istituti fondamentali. L’elaborato è il risultato del lavoro interamente scritto da studenti universitari sotto la guida dei loro insegnanti. Il progetto si compone di due volumi, il primo dei quali suddiviso a sua volta in tre parti. Nella prima parte si analizza la figura dell’imprenditore e dell’impresa. Nella seconda parte l’attenzione si sposta sulla nozione di società e, in particolare, sulle società di persone. Infine, la terza parte è interamente dedicata alle Società per Azioni. Nel secondo volume, più breve del primo, si affrontano i temi della Società in accomandita per azioni e della Società a responsabilità limitata. Data la vastità degli argomenti trattati e la scarsa esperienza degli Autori, gli Appunti non hanno alcuna pretesa di completezza ma vogliono essere solo un ausilio per i lettori, fornendo loro un quadro generale su gli argomenti di un corso base di diritto commerciale. Il presente progetto è alla prima edizione e giova ribadire che è stato scritto da giovani studenti alla prima esperienza nella stesura di un compendio universitario ed i loro insegnanti, al fine di mantenere l’autenticità e la freschezza del lavoro, si sono limitati ad eliminare solo errori concettuali. Pertanto è assai probabile che alcuni argomenti possano essere ritenuti non esaustivi e, in alcuni punti, perfino discutibili. Ce ne scusiamo fin da subito ma, nel contempo, auspichiamo che altri studenti raccolgano il testimone per migliorare ed integrare il testo.
