O presente trabalho proporciona um debate científico sobre a possível existência de assimetria de informações em investimentos feitos por fundos de venture capital (VC) e private equity (PE) em startups. O objetivo desta pesquisa é analisar a existência de assimetria de informações nos investimentos feitos em startups, com foco em fundos de venture capital e fundos de private equity, de modo apurar os problemas jurídicos e econômicos que a assimetria de informações pode causar ao fundo investidor, bem como apresentar possíveis soluções para que o fundo possa acabar ou reduzir a assimetria informacional, fazendo com que o investimento seja mais eficiente. Assim, buscou-se responder ao seguinte problema: a eventual existência de assimetria de informações pode impactar, jurídica e economicamente, em investimentos para startups feitos através de fundos de venture capital e private equity? Caso positivo, de qual forma? Como hipótese de resposta sugerida ao problema, através de uma análise doutrinária, jurídica e econômica, demonstrou-se que a resposta é positiva, isto é, que a assimetria de informações pode impactar negativamente em investimentos feitos por fundos de venture capital e private equity em startups, acarretando alocações ineficientes de recursos escassos, contribuindo para que o investimento seja menos eficiente, com maior risco, maior custo de transação, menor potencial de maximização dos interesses, riquezas e bem estar. Para fundamentar e justificar a resposta ao problema levantado, ao longo do texto desta pesquisa, serão invocadas ferramentas metodológicas relativas à Análise Econômica do Direito (AED) ou Law and Economics, tais como eficiência, alocação de recursos escassos, incentivos, custos de transação, custos de agência, problema de agência, risco moral, seleção adversa e maximização do bem-estar. Ao final, o objetivo inicialmente proposto para esta pesquisa foi alcançado, com a validação da hipótese sugerida para o problema proposto, pois, conforme apurado ao longo desta pesquisa, a eventual existência de assimetria de informações pode trazer problemas para investimentos feitos em startups através de fundos de venture capital e private equity, aumentando os custos de transação e acarretando em alocações ineficientes de recursos escassos.

Sunstein focuses on the crucial role of social norms—and on their frequent collapse. When norms lead people to silence themselves, even an unpopular status quo can persist. Then one day, someone challenges the norm—a child who exclaims that the emperor has no clothes; a woman who says “me too.” Sometimes suppressed outrage is unleashed, and long-standing practices fall. Sometimes change is more gradual, as “nudges” help produce new and different decisions—apps that count calories; texted reminders of deadlines; automatic enrollment in green energy or pension plans. Sunstein explores what kinds of nudges are effective and shows why nudges sometimes give way to bans and mandates.
