Wir unterscheiden rechtshindernde, rechtsvernichtende Einwendungen und rechtshemmende Einreden. Rechtshindernde Einwendungen lassen den Vertrag von vornherein scheitern. Ist der Vertrag unwirksam, entfallen alle vertraglichen Ansprüche, insbesondere der Erfüllungsanspruch. Wurden bereits Leistungen ausgetauscht, kommt eine Rückabwicklung nach §§ 812 ff. BGB in Betracht. Ohne wirksamen Vertrag besteht kein Besitzrecht, damit ist auch an das gesetzliche Schuldverhältnis der §§ 987 ff. BGB (Eigentümer-Besitzer-Verhältnis) zu denken. Lernen Sie frühzeitig, die im BGB verstreuten Unwirksamkeitsgründe, wie z.B. § 125 BGB, § 134 BGB, § 2302 BGB, richtig einzuordnen und je nach Fallfrage an der richtigen Stelle zu prüfen. So entfällt z.B. ein Kaufpreiszahlungsanspruch aus § 433 II BGB, wenn beim Grundstückskaufvertrag die Form des § 311b BGB nicht eingehalten wurde. Der Vertrag ist dann gem. § 125 S. 1 BGB nichtig. Das vorliegende Skript geht konsequent von der Rechtsfolge - der Vertrag entfällt - aus. Es wurden alle klausurtypischen rechtshindernden Einwendungen zusammengefasst, so dass das Skript im Hinblick auf die Unwirksamkeitsgründe über den Allgemeinen Teil des BGB hinausgeht.
