Il creditore potrà scegliere di chiedere al debitore il risarcimento del danno subìto a causa dell'inadempimento; tale richiesta è però successiva all'inadempimento e potrebbe, comunque, non soddisfare le ragioni del creditore per l'insufficienza del patrimonio del debitore o per le difficoltà e i costi che tale attività comporta. Per questo motivo, nella stipula dei contratti molto spesso, la parti per salvaguardare i propri interessi, fanno ricorso ad una tutela preventiva in caso di inadempimento che, di solito, si sostanzia nella determinazione anticipata della somma dovuta in caso di inadempimento (nella clausola penale), o nel possesso diretto di una somma di denaro consegnata dal debitore da trattenere sempre in caso di inadempimento (nella caparra confirmatoria) ovvero il versamento di una somma caso di recesso dal contratto di una delle parti (caparra penitenziale). L’opera propone la disamina e l’inquadramento sistematico e organico della clausola penale, della caparra confirmatoria e della caparra penitenziale, tenendo conto degli arresti giurisprudenziali più significativi. Il volume analizza gli aspetti generali degli istituti, specie con riferimento alla loro natura e funzione; l’ammissibilità dell’intervento giudiziale di riduzione delle penale oltre che della caparra confirmatoria con conseguente “attacco” alla “cittadella” dell’autonomia negoziale.
