Il lavoro indaga l’invalidità negoziale nella dimensione sostanziale del prelievo, con l’obiettivo di reimpostare i rapporti tra autonomia privata e diritto tributario. La riflessione prende avvio rilevando le difficoltà della tradizionale prospettiva di indagine del tema, incentrata sull’analisi dei rapporti tra libertà negoziale e prelievo fiscale nell’ottica dell’elusione tributaria, arrivando a proporre un approccio diverso, fondato sull’analisi dei riflessi dell’invalidità del contratto nel fenomeno fiscale. Per essa si propone l’adesione ad una ricostruzione “funzionale” anziché “strutturale”, che ammette una graduazione dei relativi effetti per superare la tradizionale equivalenza tra negozio nullo e inefficacia assoluta. Passando all’esame dei suoi riflessi nel diritto tributario, si ipotizza che l’inefficacia degli atti invalidi si possa qui apprezzare secondo modelli differenti da quelli che operano nel diritto civile, potendosi così giustificare le norme tributarie (quali ad esempio, in materia di imposta di registro, l’art. 38 del T.U. n. 131/1986) che ne predicano l’irrilevanza. Il percorso prosegue con l’esame delle ipotesi di patologia contrattuale introdotte dal legislatore come “rimedio” per la violazione delle norme impositive, per poi concludersi, dopo aver indagato i riflessi fiscali della simulazione, con il ritorno al tema dell’elusione e dell’abuso del diritto, auspicandosi un uso misurato dei relativi strumenti di contrasto, anche per le limitazioni che essi pongono alla libera espressione dell’autonomia negoziale.
