We study the relationship between corporate governance and firms' environmental innovation. Exploiting changes in antitakeover legislation in the US, we show that worse governed firms generate fewer green patents relative to all their innovations. This negative effect is greater for firms with a smaller share of institutional ownership, with a smaller stock of green patents, and with more binding financial constraints. Investigating regulatory and industry variations, we also find more pronounced effects for firms operating in states with lower pollution abatement costs, and in sectors less dependent on energy inputs. Overall, our results suggest that ineffective corporate governance may constitute a major obstacle to environmental efficiency.

Our paper helps answer why stricter environmental regulations, even combined with sufficient financial resources, still fail to yield significant green innovation performance by considering the heterogeneity of corporate governance mechanisms. Building on the institutional theory, resource-based view, and corporate governance literature, we construct a novel theoretical framework to explain how firms' heterogeneous financial resources and corporate governance mechanisms affect their responses to environmental regulations. Our findings reveal that financial resources positively moderate how environmental regulations spur green innovation, while the positively moderated effect is strengthened by a strong governance structure. The evidence furthers our understanding of the condition under which stricter environmental regulations could be translated into more green innovative outputs. It also has significant practical implications for “going green” in China and possibly in other emerging countries with a similar institutional context where environmental stewardship primarily relies on government-driven environmental regulations.

In this paper, we investigate whether and how environmental justice influences climate mitigation and adaptation technologies. We exploit the staggered establishment of environmental courts in China as a quasi-natural experiment that strengthened environmental justice and authoritative regulatory system independence to examine the interaction between local governments and firms' green innovation productivity. Using a sample of heavily polluting firms, we find that treatment firms significantly increased their green innovation productivity after the establishment of environmental courts relative to their counterparts. The main explanation of our findings is that environmental courts increase authoritative judicial constraints on local governments, break the collusion between local governments and firms under local protectionism, and in turn induce local governments to guide heavily polluting firms to optimize their green innovation structure through incentive and constraint mechanisms. Furthermore, we find that environmental courts play a major role in stimulating green patenting productivity in firms with lower risk-bearing capacity, higher green agency costs, and state-owned firms. We also find that green patents applied independently are more sensitive to the establishment of environmental courts than jointly applied green patents. However, corporate green R&D efficiency does not improve after the establishment of environmental courts. Overall, we uncover that environmental justice strengthening is one of the effective mechanisms that can be used to promote a just transition toward a low-carbon green economy.
