Ein Teilziel dieses Assignments ist es, die Begriffe Corporate Governance sowie Homeoffice, Telearbeit und mobile Arbeit so zu erläutern, dass kritische Aussagen auf einer fundierten, theoretischen Basis getroffen werden können. Corporate Governance bezeichnet den rechtlichen und faktischen Ordnungsrahmen für die Leitung und Überwachung eines Unternehmens. Unvollständige Verträge und unterschiedliche Interessenlagen bieten den Stakeholdern prinzipiell Gelegenheiten wie auch Motive zu opportunistischem Verhalten. Regelungen zur Corporate Governance haben grundsätzlich die Aufgabe, durch geeignete rechtliche und faktische Arrangements die Spielräume und Motivationen der Akteure für opportunistisches Verhalten einzuschränken. Das Geschäft inmitten einer Pandemie zu führen, ist eine nie zuvor dagewesene Herausforderung für Vorstände weltweit. Laut einer Umfrage im deutschsprachigen Raum fühlen sich 45% der Führungskräfte durch die Auswirkungen der Corona-Pandemie verunsichert, im oberen Management sind es sogar 53%. Die Beschränkungen, die von vielen Regierungen auf der ganzen Welt im Umgang mit dem Ausbruch der Corona-Pandemie auferlegt werden, stellen die Unternehmensführung vor neue Aufgaben und Herausforderungen. Die Vorstände stehen aufgrund der Corona-Pandemie vor einer komplexen, neuen Realität. Das neue Umfeld ist geprägt von Druck und Anforderungen verschiedenster Interessengruppen, gepaart mit gesteigerten Erwartungen an gesellschaftliches und soziales Engagement sowie einer unvorhersehbaren Unsicherheit für die Zukunft. Diese Faktoren erschweren die Entscheidungsfindung des Vorstands.

Durch die Corona-Pandemie haben sich die Anforderungen an das Arbeiten weltweit stark verändert. Durch die Einschränkungen der persönlichen Kontakte und die damit einhergehende soziale Distanzierung müssen auch Unternehmen Maßnahmen ergreifen, um die Mitarbeiter zu schützen und die Ansteckungen mit dem Virus in der Gesellschaft so gering wie möglich zu halten. Bei einer Befragung unter Angestellten in ganz Deutschland im März 2020 zeigte sich, dass rund 60% in gesundheitsgefährdenden Situationen wie der Corona-Pandemie gerne im Homeoffice arbeiten würden. Außerdem können seitens der Unternehmen mehr Tätigkeiten im Homeoffice verrichtet werden, als von vielen bisher angenommen. In Deutschland wird in der am 27. Januar 2021 in Kraft getretenen Corona-Arbeitsschutzverordnung festgelegt, dass Arbeitgeber den Arbeitnehmern das Arbeiten im Homeoffice ermöglichen müssen, sofern keine dringenden betrieblichen Gründe diesem entgegenstehen. Es ist davon auszugehen, dass es sich bei dem Thema Homeoffice und Mobileoffice nicht um einen Trend handelt, der nach der Corona-Pandemie wieder verschwindet, sondern, dass das Arbeiten im Büro auch in Zukunft vermehrt durch das Arbeiten von zu Hause ersetzt werden wird.

This third volume in a series on Comparative Succession Law concerns the entitlement of family members to override the provisions of a deceased person's will to obtain money or assets (or more money or assets) from the person's estate. Some countries, notably those in the civil law tradition (such as France or Germany), confer a pre-ordained share of the deceased's estate or of its value on certain members of the deceased's family, and especially on the deceased's children and spouse.
