The rise in state-owned enterprises (SOEs) as growing actors in international trade and investment has received renewed attention in recent years, not least due to controversy that has arisen over SOE foreign investments. This has raised the profile of these issues with policy makers and tilted much of the public debate in one direction. Some concerns revolve around the intentions of these companies, or any potential competitive distortions that could be caused by them which would differentiate them from privately-owned enterprises operating under like circumstances. With a view to keeping the trade and investment environment open, this paper draws attention to particular perceptions of concerns or challenges that arise when SOEs internationalise. Although perceptions are not verifiable facts, they reveal important trends that may inform the debate and shape future government policies towards foreign trade and investment by SOEs. The information in the report is primarily drawn from findings emerging from a three-part perception-based OECD survey addressed to public officials responsible for enterprise ownership, competition enforcement, investment regulation and trade policy in addition to departments of government with broader responsibility for the enterprise and competition landscape, and/or cross-border trade and investment regulation.

This book focuses on the dialectics between spatio-organisational gaps and local contexts that characterise cross-border investments. "Interspatial" investments – be it mergers & acquisitions (M&A) or greenfield investments – are usually characterised by what is referred to as "otherness", i.e. organisational and cultural distances of the firms involved in relation to their regional contexts. At the same time, economic, political and socio-cultural linkages are decisive for attracting cross-border investments to regions and for providing firms with conditions supportive of their market success. As a consequence of being locked into complex structures of proximities, cross-border investments are situated in contested terrain. This terrain triggers learning processes in both regional actors and investors, which can result in the convergence of mindsets and organisational issues. This book is unique in that it combines interspace (defined as the distance between the new owner and the cross-border venture), place (the target region), interpretation (perception and understanding of the investment by the actors involved) and context (institutions, actor networks and interaction), thus offering better understanding of recent processes of globalisation. Crossing disciplinary boundaries by integrating economic geography and management studies, the volume adopts an innovative and spatially informed perspective on foreign direct investments (FDI). Reflecting the significant amount of foreign investment by State-owned enterprises (SOEs), a number of claims against States by SOEs have been submitted to investor-State arbitration. Such claims raise the issue of whether, for purposes of determining standing as 'investors' in investment arbitration, tribunals should apply the same analysis to State-owned and privately owned corporations.Existing bilateral investment treaties and investment chapters of free trade agreements, with only a few isolated exceptions, are available to SOEs as claimants, at least when acting in a commercial capacity. The more challenging questions concern, first, whether those agreements also are available to SOEs as claimants when acting in a governmental capacity and, second, if not, how to distinguish commercial from governmental conduct by SOEs. With respect to those two issues, this article recommends that decision-makers, first, look primarily to the applicable definition of 'investor' when determining whether treaty protections extend to sovereign conduct and, second, rely on well-developed customary international law attribution principles -- which have been applied in a variety of settings when there is a need to determine the boundaries of sovereign conduct -- to distinguish commercial from governmental conduct.With respect to the Convention on the Settlement of Investment Disputes between States and Nationals of Other States (ICSID Convention) -- which does not extend to State-to-State disputes, even in a subrogation context -- this article recommends that decision-makers again look to customary international law attribution principles to distinguish between claims brought by SOEs in a commercial capacity (which can be submitted against States under the ICSID Convention) and a governmental capacity (which cannot be submitted against States under the ICSID Convention). Consistent with customary international law attribution principles, tribunals should consider not only the nature, but also the purpose, of an SOE's activities when determining the boundaries of sovereign conduct.

This publication is a first response of the OECD to the issue of what role is, or can be, assigned to SOEs as part of national development strategies. The first part of the publication overviews the experiences of five countries (Brazil, China, India, Singapore and South Africa) with using SOEs, and other government-controlled entities as agents of their development strategies. The second part reviews the growing internationalisation of SOEs through foreign trade and investment. These show implications that the usefulness of SOEs in promoting economic development hinges on a number of factors, not least the level of economic development at the beginning of the process. Indeed, if the government's ambition is to follow a development path already trod by numerous comparable nations it is relatively easy to hammer out a strategy and provide the SOEs with company-specific objectives toward the fulfilment of the strategy. However, experience also shows that some crucial conditions generally need to be met for such SOE-based strategies to be successful, taking into account the capacity of national bureaucracies and avoiding possible adverse impacts on international trade and investment.
