As a result of the Regulation on the European Company and the Tenth Council Directive, all Member States are obliged to finally implement the merger arrangements of the 1990 Fiscal Merger Directive, forcefully raising the question of the tax consequences of cross-border mergers. This book is the first to focus in such an extended way on the meaning of the 1990 Directive’s tax provisions in this context. Die nur knapp sechs Jahre zuvor etablierte Durchgriffshaftung wegen existenzvernichtenden Eingriffs wurde mit der „Trihotel“-Entscheidung zur Fallgruppe des § 826 BGB als Haftung gegenüber der GmbH umfunktioniert. Die vorliegende Arbeit legt die normative Begründung für eine außerpositive Gesellschafterhaftung wegen existenzvernichtender Eingriffe dar, analysiert die „Trihotel“-Konzeption zur Existenzvernichtungshaftung tatbestandlich, untersucht sie auf ihre dogmatische Stringenz hin und arbeitet die praktischen Implikationen der Rechtsprechungsänderung heraus. Endlich wird das neue Haftungskonzept im Hinblick auf seine ökonomischen Folgen analysiert. Im Zentrum der Aufmerksamkeit steht damit allein die neue Haftungskonzeption des BGH; auf die zahlreichen im Schrifttum entwickelten Ansätze wird in diesem Sinne nur in gebotener Kürze und soweit es für die Betrachtung der neuen Existenzvernichtungshaftung vonnöten ist, eingegangen.
