Dieser Praxis-Kommentar wurde auf der Grundlage des neuen GmbH-An derungsgesetzes nach dem Gesetzesbeschluß des Bundestages im Mai 1980 geschrieben. Nachdem der Entwurf des neuen GmbH-Anderungsgesetzes vom 15.12.1977 auf Kritik gestoßen war, hatte der Vermittlungsausschuß des Bundestages eine Beschlußempfehlung vom 16.4.1980 veröffentlicht (BT-Drucksache 8/3908 vom 16.4.1980), welche die Kritik am Entwurf weitgehend berücksichtigte. Dieses Buch soll unmittelbar nach Verkündung des Gesetzes dem Prak tiker eine erste Hilfe für die Lösung seiner Tagesprobleme sein. Einen Großkommentar will und kann es nicht ersetzen. Die neuen und die ge änderten Vorschriften wurden ausführlicher kommentiert als die nicht ge änderten Vorschriften. Wenn daher Fragen gelöst werden müssen, die mehr oder weniger aus den nich t geänderten Vorschriften erwachsen, soll te weitere Literatur herangezogen werden. Rechtsprechung wurde nur ausnahmsweise zitiert, wenn wir glaubten, daß sie für die Praxis von unmittelbarer Bedeutung sein kann. Das GmbH-Anderungsgesetz tritt am 1. Januar 1981 in Kraft. Das Ge setz will den Gläubigerschutz verbessern und die Vorschriften über die GmbH insgesamt zeitgerechter und gangbarer machen.
