In the last decade, the attention paid to the environmental protection has generated a considerable interest towards the development of new energy carriers and green energy production methods. In Zeiten, in denen fast täglich Unternehmen in die verschiedenen Segmente der deutschen Börsen streben, ist eine Maßnahme in der entgegen-gesetzten Richtung auf den ersten Blick verwunderlich. Auf den zweiten Blick stellt ein Going Private jedoch einen logischen Schritt in einer Kette dar. Mit der Erleichterung von Aktienrückkäufen im Zuge des KonTraG 1998 und der Erweiterung des § 43 BörsG wurde die Durchführung des Going Private schrittweise ermöglicht. 1999 haben die ersten Unter-nehmen diese Möglichkeit genutzt. Going Privates sind jedoch keine neue Maßnahme. Be-reits 1886 wurde der erste Going Private in den USA durchgeführt. Ihren Höhepunkt fanden Going Privates dort etwa hundert Jahre später. In Europa ist Großbritannien bei Going Priva-tes mit ca. 50 Transaktionen allein im Jahr 1999 führend. Eine Investment Banking Weisheit lautet: „What happens in New York on Monday happens in London on Tuesday and in Frank-furt the following Friday.“ Demnach können für Deutschland weitere Going Privates erwar-tet werden. Dem Going Private verwandte Transaktionen wie der Leveraged-Buy-Out einer GmbH hat es auch schon während der achtziger Jahre in Deutschland gegeben. Neu hinge-gen ist die Entwicklung, daß börsennotierte Gesellschaften als Zielgesellschaften für Buy-Outs fungieren. Zielgesellschaften für Going Privates können „unterbewertete Aktiengesellschaften“ , Toch-tergesellschaften, die im Rahmen einer strategischen Neuausrichtung stärker in den Konzern eingebunden werden sollen, oder Eigentümergesellschaften, die in der Börsennotierung für sich keine Funktion mehr sehen, sein.
