Provides a clear and comprehensive guide to the 2017 FIDIC contracts—written by a member of the FIDIC Updates Task Group FIDIC contracts are the most widely used engineering standard form contracts internationally but until 2017 the three main forms (the Red, Yellow and Silver Books) had not been amended or updated for nearly two decades, since the first editions were published in 1999. Written by a specialist lawyer who was member of the FIDIC Updates Task Group responsible for writing the new contracts, this book examines in detail the many substantial changes they have introduced. After providing an overview the contracts are examined clause by clause with the aim of showing how each compares and contrasts with the others and how the second editions compare and contrast with the first. The first chapter describes how the Red, Yellow and Silver Books evolved from earlier contract forms and the distinctive characteristics of each, before providing an overview of the updates, including new potential risks for both Employer and Contractor, and then examining, in the second chapter, key general provisions such as the new rules on notices and limitation of liability. Chapter 3 examines the enhanced role of the Engineer in the Red and Yellow Books/Employer’s Representative’s function in the Silver including the new procedure for determinations as well as the Employer’s obligations and contract administration. The Contractor’s obligations are considered in chapter 4 while chapter 5 examines his responsibility for design in the Yellow and Silver Books. Chapters 6 to 14 deal respectively with plant, materials and workmanship and staff and labour; time-related provisions in the three contracts including extensions of time, and the Employer’s right to suspend the works; testing on and after completion and the Employer’s taking over of the works; defects after taking over, acceptance of the works and unfulfilled obligations; measurement (in the Red Book), the Contract Price and payment; the new variations regime and adjustments to the Price; termination and suspension; care of the works and indemnities and Exceptional Events (previously, Force Majeure). An important feature of the new contracts is their increased emphasis on clarity in the claims process and on dispute avoidance. These topics are examined in the final two chapters, 15 and 16, which deal respectively with the new claims and dispute resolution provisions of the 2017 forms. FIDIC contracts are the most widely used standard forms of contract for international engineering and construction projects Provides a clear and comprehensive guide to the 2017 FIDIC Red, Yellow and Silver Books Written by a senior specialist lawyer and member of the FIDIC 2017 Updates Task Group responsible for writing the new contracts Accessible to those with little or no familiarity with FIDIC contracts The 2017 FIDIC Contracts is an important guide for anyone engaged in international projects, including employers, contractors, engineers, lawyers, suppliers and project financiers/sponsors.

Any practising lawyer and student working with international commercial contracts faces standardised contracts and international arbitration as mechanisms for dispute settlement. Transnational rules may be applicable, but national law is still important. Based on extensive practical experience, this book analyses international contract practice and its interaction with various applicable sources. It considers vital questions concerning the role played by contractual regulation, by national law and by transnational sources. What is the interaction among these factors, and how does this all apply to contracts that refer disputes to international arbitration? This revised second edition has been fully updated to reflect developments in the field and includes useful tools like tables of cases and sources, and a list of electronic resources and databases.

Excerpt from Illustrative Cases in Contracts This collection of cases has been made for use in the classroom in connection with my lectures upon the subject of Contracts. Being "illustrative" of the principles considered, I have deemed it desirable to select American cases rather than English, as the student will find an advantage in being particularly familiar with the reports of his own country in the early days of his practice. English authorities, however, are not ignored. They are frequently cited in the notes and much more frequently in the lectures, it being our object to familiarize the pupil with the history and growth of each principle to which we direct his attention. The cases printed have been selected from the Supreme Court Reports of the United States and from those of twenty-one of the different States of the Union. In treating of the Statute of Frauds, the cases have been selected necessarily from a comparatively few State Reports, because the statute varies so much in the different States that what is authority in one might not be in another. Wherever the student practises, he must consult the statute of his own State; but the cases in this volume will give him a general view of its most important features. Purchase of this book includes free trial access to www.million-books.com where you can read more than a million books for free. This is an OCR edition with typos. Excerpt from book: 4. Designation of the Parties.? ? by and between (name of owner, company, board, city, university, I or other corporation)., of the City of Town of ], County of .State of, party of the first part, and (name of contractor or company) of the City of, County of, State of, party of the second part. The parties of a contract are designated as party of the first part and party of the second part, the former being conventionally applied to the person who contracts to sell, to lease, or to have performed the subject-matter of the contract, and the latter title to the person agreeing to take or purchase the article or to perform the contract. These terms are frequently avoided by using instead the names of the parties, referring to them as the Said, the Said Contractor, the Said Owner, the Said Board, City, Company, University, etc. This avoids confusion and the danger of the parties forgetting to which party he or they belong. A man will hardly fail to recognize his own name or that he is a contractor, when he might not remember that he is the party of the second part. When reference is made to the parties as the City, Board, Company, etc., or as the Contractor or the Engineer, it is customary and prudent to insert a clause explaining who is intended and included within the terms, as in the following clauses: That whenever and wherever in this contract the phrase ' party of the second part/ or the word ' Contractor, ' or a pronoun in place of either of them is used, the same shall be taken and deemed to mean and intend the party of the second part to this agreement (his their] heirs, executors, administrators, or assigns). That whenever the word ' Engineer' is used in these specifications, or in this contract, it refers to and designates the Chief E...
