Entre os desafios para o Brasil, destaca-se a elevação do investimento em infraestrutura. Devido às incertezas a que os projetos de longuíssimo prazo estão sujeitos, os contratos de prestação de serviços públicos pelo setor privado são considerados incompletos, devendo incorporar certa flexibilidade para lidar com eventos não previsíveis no momento da sua elaboração. Tirando proveito de assimetrias de informação, os detentores da concessão costumam adotar estratégias oportunistas (low balling, hold up e winner curse), para maximizar os seus lucros. Em resposta a esses desafios, o project finance deve ser entendido como uma estrutura de governança envolvendo uma rede de contratos, que proporciona uma melhor alocação de riscos entre os diversos atores de um projeto, promove alinhamentos entre as partes, fomentando estruturas mais eficientes de prestação dos serviços. Este livro mostra que o project finance, ao mitigar riscos, tende a proporcionar ganhos ao valor do projeto muitas vezes superior aos custos de transação desse financiamento. Como resultado, pode proporcionar uma redução de tarifas na prestação dos serviços e/ou elevar o valor esperado e, portanto, a lucratividade do investimento em infraestrutura. Por meio de quatro estudos de casos, que simulam situações da experiência brasileira de concessão de infraestrutura, busca-se mostrar exemplos sintéticos de análises de projetos. São apresentados os tipos mais usuais de contratos existentes no project finance; os principais cálculos financeiros; e situações que podem levar à necessidade de reestruturação dos contratos. O livro mostra também uma forma original de utilizar a matriz de risco do projeto para obter o que denomina de seu prêmio de risco esperado.
