Studienarbeit aus dem Jahr 1996 im Fachbereich Jura - Zivilrecht / Handelsrecht, Gesellschaftsrecht, Kartellrecht, Wirtschaftsrecht, Note: 10 Punkte, Universität Hamburg, Sprache: Deutsch, Abstract: Mit dem „Gesetz für kleine Aktiengesellschaften und zur Deregulierung des Aktiengesetzes“ hat sich der Gesetzgeber einer lang diskutierten Problematik angenommen, nämlich der Eigenkapitalausstattung der deutschen Wirtschaft, insbesondere der des Mittelstandes. Bereits 1984 wurde vom 55. Deutschen Juristentag die Eigenkapitallücke deutscher Unternehmen beklagt. Besonders im internationalen Vergleich schien eine Reform des Aktiengesetzes vonnöten zu sein, um die starre Unterteilung der beiden Kapitalgesellschaften, der GmbH und der AG zu lockern. Das deutsche Aktienrecht orientierte sich ausschließlich an den großen Publikumsgesellschaften, da der Gesetzgeber davon ausging, dass kleinere und mittelständische Unternehmen die kapitalgesellschaftliche Rechtsform der GmbH und die großen Unternehmen, die der Aktiengesellschaft wählen sollten. Diese grundsätzliche Trennung der beiden kapitalgesellschaftlichen Rechtsformen, die der GmbH, als flexible sehr satzungsautonome und die der Aktiengesellschaft, als satzungsstrenge und unflexible Gesellschaftsform, führte dazu, dass der Mittelstand die Form der Aktiengesellschaft weitgehend gemieden hat. Schon im Jahre 1986 griff das Bundesministerium der Justiz diese Überlegungen auf und versuchte die Notwendigkeit bezüglich der Lockerung aktienrechtlicher Bestimmung festzustellen. Hierzu wurden im Rahmen einer Studie Wirtschafts- und Fachverbände befragt, inwieweit das Aktienrecht an die Bedürfnisse kleiner und mittlerer Unternehmen angepasst werden könnte. Im Ergebnis war Einigkeit der Spitzenverbände der Wirtschaft festzustellen, dass besonders für die mittleren Unternehmen ein Regelungsbedarf bestand. Grundlage für alle Überlegungen war die wirtschaftliche Grundkonzeption der deutschen Wirtschaft der 80er Jahre. Besonders die gesellschaftsrechtliche Ausrichtung der Unternehmen in Deutschland.

This work focuses on a specific aspect of the enforcement of maritime claims, namely judicial sales of ships, a procedure creditors typically resort to in the event of an irreversible default situation. A substantial part of the book approaches the topic from a comparative perspective, the goal being to assess the similarities and differences of the judicial sale procedure between three specific jurisdictions: Belgium, the Netherlands, and England & Wales. In this study, the comparison is used to further analyse the impacts of these differences on the effectiveness and reliability of the judicial sale procedure in each jurisdiction and also forms the basis for assessing the feasibility of harmonising judicial sale procedures and fostering their acceptance. Considering the international character typical of judicial sales of ships, conflict-of-law questions are very likely to arise during these procedures. The book provides rule-by-rule commentaries on European contract law (general contract law, consumer contract law, the law of sale and related services), dealing with its modern manifestations as well as its historical and comparative foundations. After the collapse of the European Commission's plans to codify European contract law it is timely to reflect on what has been achieved over the past three to four decades, and for an assessment of the current situation. In particular, the production of a bewildering number of reference texts has contributed to a complex picture of European contract laws rather than a European contract law. The present book adopts a broad perspective and an integrative approach. All relevant reference texts (from the CISG to the Draft Common European Sales Law) are critically examined and compared with each other. As far as the acquis commun (ie the traditional private law as laid down in the national codifications) is concerned, the Principles of European Contract Law have been chosen as a point of departure. The rules contained in that document have, however, been complemented with some chapters, sections, and individual provisions drawn from other sources, primarily in order to account for the quickly growing acquis communautaire in the field of consumer contract law. In addition, the book ties the discussion concerning the reference texts back to the pertinent historical and comparative background; and it thus investigates whether, and to what extent, these texts can be taken to be genuinely European in nature, ie to constitute a manifestation of a common core of European contract law. Where this is not the case, the question is asked whether, and for what reasons, they should be seen as points of departure for the further development of European contract law.

This third volume in a series on Comparative Succession Law concerns the entitlement of family members to override the provisions of a deceased person's will to obtain money or assets (or more money or assets) from the person's estate. Some countries, notably those in the civil law tradition (such as France or Germany), confer a pre-ordained share of the deceased's estate or of its value on certain members of the deceased's family, and especially on the deceased's children and spouse. Other countries, notably those in the common law tradition (such as England, Canada, or Australia), leave the matter to the discretion of the court, the amount awarded depending primarily on financial need. Whichever form it takes, mandatory family provision is both a protection against disinheritance and also, therefore, a restriction on testamentary freedom. The volume focuses on Europe and on countries influenced by the European experience. Anthropologists have written a great deal about the coastal adaptations and seafaring traditions of Pacific Islanders, but have had much less to say about the significance of rivers for Pacific island culture, livelihood and identity. The authors of this collection seek to fill that gap in the ethnographic record by drawing attention to the deep historical attachments of island communities to rivers, and the ways in which those attachments are changing in response to various forms of economic development and social change. In addition to making a unique contribution to Pacific island ethnography, the authors of this volume speak to a global set of issues of immense importance to a world in which water scarcity, conflict, pollution and the degradation of riparian environments afflict growing numbers of people. Several authors take a political ecology approach to their topic, but the emphasis here is less on hydro-politics than on the cultural meaning of rivers to the communities we describe. How has the cultural significance of rivers shifted as a result of colonisation, development and nation-building? How do people whose identities are fundamentally rooted in their relationship to a particular river renegotiate that relationship when the river is dammed to generate hydro-power or polluted by mining activities? How do blockages in the flow of rivers and underground springs interrupt the intergenerational transmission of local ecological knowledge and hence the ability of local communities to construct collective identities rooted in a sense of place?
