Inhaltsangabe:Einleitung: Vom E-Commerce Boom vergangener Jahre ist nicht mehr viel übrig geblieben. Als Folge der übertriebenen Erwartungen der Unternehmen, begleitet von der weltweiten Wirtschaftsflaute, wurden die Aktivitäten im E-Commerce Bereich drastisch reduziert bzw. die Investitionen wurden zeitlich nach hinten verschoben. Nicht desto trotz zeigen viele Studien, dass der elektronische Handel ein ausgezeichnetes Entwicklungspotenzial in den nächsten Jahren besitzt. In diesem Zusammenhang, stellt das Internet eine bedeutende Herausforderung an das Zivil- und Steuerrecht dar. Die rasante technische Entwicklung dieses Mediums und der länderübergreifende Einsatz, d.h. die neue Qualität der Kommunikation, sind die Hauptgründe, warum die gesetzlichen Anpassungen zeitlich hinterherhinken. Auch rechtliche Unsicherheiten können Unternehmen von E-Commerce abschrecken. Immerhin geben 13 % der mittel-ständischen Unternehmen dies als Grund an, kein E-Commerce zu betreiben. Die Anbieter können Ihre Geschäfte ohne physische und geographische Anbindung in einem Land nahezu anonym abwickeln. Auch die fehlenden physischen Spuren bei digitalisierten Waren werfen große Fragen auf. Denn dies führt nicht nur aus Sicht von Unternehmen zu Problemen bei der Ermittlung von umsatz- und ertragsteuerlichen Belastungen. Zivilrechtlich stellt sich insbesondere die Frage, welche Rechtsordnung bei grenzüber-schreitenden Geschäften angewendet wird. Im Zuge der Globalisierung bietet das Internet den Unternehmen eine hervorragende Möglichkeit kostengünstig ihre Produkte und Dienstleistungen welt-weit anzubieten. Im Rahmen dieser Diplomarbeit sollen ausschließlich mittelständische Unternehmen überwiegend als Anbieter von Produkten und Dienstleistungen untersucht werden. Gerade der Mittelstand kann aufgrund seiner begrenzten Mittel gegenüber den großen Konzernen von diesem Medium profitieren. Der Mittelstand tätigt 44,8 % aller steuerpflichtigen Umsätze und stellt 99,3 % der umsatzsteuerpflichtigen Unternehmen in Deutschland dar. Gang der Untersuchung: Einführend sollen wirtschaftliche Aspekte des E-Commerce näher ausgeführt werden. Dabei werden neben den Grundlagen, Chancen und Risiken des E-Commerce für mittelständische Unternehmen behandelt.
