El Derecho concursal es un área del ordenamiento jurídico que, con independencia de que exista o no una situación de insolvencia, puede tener un impacto significativo en el emprendimiento, la innovación, el acceso al crédito y el crecimiento económico de un país. A pesar de lo anterior, los estudios tradicionales de Derecho concursal en España han omitido este análisis económico de las instituciones concursales. En consecuencia, se ha promulgado una Ley Concursal que adolece de una serie de deficiencias estructurales que provocan que la legislación concursal española sea, inexplicablemente, antideudora y antiacreedora, con el consecuente perjuicio para el crecimiento y competitividad de la economía española. Como será puesto de manifiesto en esta obra, este diseño ineficiente y poco atractivo del concurso —y no, como a veces se alega, un problema cultural de empresarios y acreedores españoles— es lo que provoca una natural aversión de los operadores económicos al concurso. Por este motivo, este trabajo pretende contribuir a cambiar el paradigma tradicional con el que se ha entendido, estudiado y diseñado el Derecho concursal en España, además de facilitar al legislador, a partir del razonamiento económico y de la experiencia de otros países, una serie de propuestas de reforma que podrían contribuir a mejorar la eficiencia y atractivo del concurso, favoreciendo de esta manera el emprendimiento, la innovación, el acceso al crédito y el crecimiento económico en España.

We propose a new bankruptcy procedure. Initially, a firm's debts are cancelled, and cash and non-cash bids are solicited for the 'new" (all-equity) firm. Former claimants are given shares, or options to buy shares, in the new firm on the basis of absolute priority. Options are exercised once the bids are in. Finally, a shareholder vote is taken to select one of the bids. In essence, our procedure is a variant on the U.S. Chapter 7, in which non-cash bids are possible; this allows for reorganization. We believe our scheme is superior to Chapter 11 since it is simpler, quicker, market-based, avoids conflicts, and places appropriate discipline on management.

Unscrupulous merchants now use these benign laws for fraudulent purposes." Based on case studies in Argentina, Brazil, Mexico, and Venezuela, this is the first publication to provide recommendations about the important legal and institutional issues that are involved in bankruptcy reform in a critical region of the global economy. The authors note that effective bankruptcy policy balances several requirements for the conduct of a stable, successful economy. For example, it might be in the greatest interests to all parties if a company is given an opportunity to restructure and make use of the scarce resources remaining in its possession. On the other hand, inefficient firms, especially those that have long survived only on state subsidies, may need to fail in order to free space in the market for more efficient, better-managed companies. Finally, there are the needs to enforce loan contracts and provide an equitable system of debt collection.
