Masterarbeit aus dem Jahr 2023 im Fachbereich Jura - Steuerrecht, , Sprache: Deutsch, Abstract: Die vorliegende Arbeit fokussiert sich auf die optimierte Übertragung von inländischen Unternehmensvermögen unter Berücksichtigung erbschaftsteuerlicher und schenkungsteuerlicher Aspekte. Dabei liegt der Schwerpunkt auf der Betrachtung von Familienunternehmen, ohne im Detail auf gesellschaftsrechtliche und umwandlungsrechtliche Strategien einzugehen. Die Bewertung des Unternehmensvermögens spielt in diesem Kontext eine untergeordnete Rolle, während die vorweggenommene Erbfolge als bevorzugte Form der Übertragung betrachtet wird. Eine detaillierte Analyse der Erbschaftsteuer bei Todesfällen wird hier nicht durchgeführt und die Betrachtung beschränkt sich ausschließlich auf inländische Angelegenheiten ohne Bezug zum Ausland. Die Auswertung des Statistischen Bundesamtes zeigt einen Anstieg der veranlagten Erbschaft- und Schenkungsteuer im Jahr 2021 um weitere 14 Prozent. Im Jahr 2020 hat diese bereits um 20 Prozent zugenommen. Rund 9,82 Mrd. Euro hat der Staat mit Erbschaften und Schenkungen im Jahr 2021 eingenommen. Auch im Jahr 2022 wurden rund 9,23 Mrd. Euro vereinnahmt. Dabei steigt nicht nur die Übertragung von Privatvermögen, sondern auch die Zahl der Unternehmensnachfolgen aufgrund des demografischen Wandels kontinuierlich an. Laut einer KfW-Studie aus dem Jahr 2020 streben über 800.000 Inhaber von mittelständischen Unternehmen innerhalb der nächsten fünf Jahre einen Ausstieg aus dem Betrieb an. Weit mehr als die Hälfte davon wollen ihr Unternehmen an einen Nachfolger übergeben. 53 Prozent bevorzugen als Nachfolger ein Familienmitglied, 29 Prozent planen einen externen Nachfolger und nur noch 18 Prozent suchen für die Nachfolge einen internen Mitarbeiter. Hieraus ergeben sich nicht nur zivilrechtliche, sondern auch umfangreiche steuerliche Beratungsfelder mit enormen Handlungspotenzial. Um sicherzustellen, dass Familienunternehmen über mehrere Generationen hinweg erfolgreich bleiben, ist die Nachfolgeplanung ein entscheidender Faktor und bestimmt darüber, ob das Unternehmen in Familienbesitz bleibt oder nicht. Sie beginnt nicht erst an Tag X, sondern bildet bereits einen andauernden Prozess, der sorgfältig durchdacht und geplant werden muss. Eine umfassende Begleitung des Führungswechsels erfordert ein Konzept, das strategische, persönliche, rechtliche und vor allem steuerliche Aspekte berücksichtigt.
