This dissertation consists of an introductory chapter and three distinct yet thematically related papers. The purpose of the dissertation is to explain variation in regulatory policy across countries by highlighting the institutional (supply) and interest group (demand) determinants of policy. I develop and test theory explaining regulatory policy outcomes at several levels of analysis. Chapter 1 introduces the topic and related literature. Chapter 2 focuses on the supply of regulatory policy by examining how political institutions affect the responsiveness of policymakers to consumer interests. I argue that the political influence of consumers depends on the level of democracy. To test the theory, I develop an original dataset measuring competition agency design in 156 developing countries covering the period 1975-2007. I estimate hazard models on the timing of competition policy reform. I also create an original index of governments' commitments to antitrust policy and estimate its political determinants. The results confirm a link between democracy and the commitment to consumer-friendly regulatory policy. Chapter 3 holds institutions constant in order to examine the demand-side determinants of regulatory policy outcomes within democracies. I argue that competition policy enforcement reflects the relative political strength of two contending interest groups : a rent-preserving alliance of incumbent producers and affiliated labor opposes competition policies that erode its market dominance; a pro-competition coalition of consumers, unorganized workers, and entrepreneurs favors regulatory oversight. Tests of the timing and nature of reform in democracies support the argument that commitments to antitrust regulatory reform are weakened where the anticompetitive interest group is large and encompassing. Chapter 4 develops hypotheses regarding the firm-level determinants of lobbying and political influence. I argue that economic power translates directly into political power : large, well-organized oligopolists are more likely to lobby and to influence government policy in their favor. I directly test lobbying activity and policy influence using firm-level survey data from over 20,000 firms operating in 41 countries. The results suggest that the political power of the firm increases with its size, market power, and participation in business associations. There is some evidence that the substantive impact of these microeconomic determinants of political influence depends on the level of democracy.

Law is an increasingly pervasive force in our society. At the same time, however, the obstacles to law’s effectiveness are also growing. In The limits of Law, Yale law professor Peter H, Schuck draws on law, social science, and history to explore this momentous clash between law’s compelling promise of ordered liberty and the realistic limits of its capacity to deliver on this promise. Schuck first discusses the constraints within which law must work–law’s own complexity, the cultural chasms it must bridge, and the social diversity it must accommodate–and proceeds to consider the ways law uses regulatory, legislative, and adjudicatory processes to influence social behavior. He shows how politics shapes regulation, how regulation might incorporate individualized equity, and how it can best be reformed. Turning to legislation, he justifies a strong role for special interest groups, dissects purely symbolic statutes, and defends broad delegations of legislative power to regulatory agencies. Concerning adjudication, Schuck analyzes the courts’ efforts to advance social justice by controlling federal agencies, constitutionalizing politics, managing mass toxic tort disputes, and reforming public services and institutions. The first study works on the effect of government regulation on financial markets. The second study analyses the multitask nature of government regulation in a regionally decentralized authoritarian regime. The first study examines the influences of the 1934 US Securities and Exchange Act on stock markets. The Securities and Exchange Acts of 1933/1934 are the first nationwide public laws of financial regulation in the world. By imposing mandatory information disclosure requirements, these laws are implemented with the aims of reducing speculation and manipulation of stock prices. Subsequent financial regulations all over the world follow the principles embedded in these two laws. However, 80 years later, the effects of these laws on financial markets are still under debate and continue to have deep implications on law and financial development at a global scale. In this study I examine the impact of the 1934 Act in reducing stock idiosyncratic volatility. Monthly firm-level idiosyncratic volatility series for NYSE/AMEX listed firms in the period of 1926 - 1970 are constructed from daily CRSP stock data; voluntary disclosed accounting data from "Moody''s Manual of Investments 1934" are manually collected as a proxy of firms'' disclosure quality before the law. The comparisons of the firm-level idiosyncratic volatilities before and after the enactment of the Acts show systematic evidence indicating that the Acts significantly reduce idiosyncratic volatility. Moreover, the firms that disclose much less the key accounting information before the implementation of the Acts, have experienced more reductions in volatility and are thus more deeply affected by the Acts than others. In addition, these firms are associated with further reductions in bid-ask spreads and additional improvements in liquidity after the enactment of the Acts. My findings suggest that one of the mechanisms, through which the Acts affect the market, have been identified. The second study explores the governance structure of government in a regionally decentralized authoritarian regime. The organizational form of Chinese central-local government is characterized by regionally decentralized authoritarianism (RDA) (Xu (2011)). This system is a combination of political centralization and economic regional decentralization. Political centralization implies that subnational officials'' careers are determined by their superiors instead of constituencies; regional decentralization indicates that subnational governments are empowered to engage in regional development. At the early stage of economic reform, economic growth became the most important task. By utilizing yardstick competition reward based on economic performance, China''s central government is successful in incentivizing local government officials to promote economic growth. However, unlike private enterprises, which concentrate on maximizing profits, government agencies are bound to pursue multiple goals. The multitask nature of government has become increasingly prominent and has created serious problems in China. By extending the Holmstrom and Milgrom (1991) multitask principal-agent model to a multitask-multiagent model, I explain under which conditions yardstick competition would fail in motivating local officials, and show that the optimal linear contract designed under a RDA regime is not capable of solving problems generat
