Pasar modal di Indonesia saat ini telah berkembang semakin pesat (Septyaningsih, 2017). Perkembangan pasar modal tersebut selain membawa dampak pada kemajuan bisnis perusahaan go public juga berpeluang memunculkan konflik antara pihak-pihak yang terkait. Konflik tersebut dikenal sebagai konflik agensi yaitu konflik antara antara pengelola modal masyarakat yang dikenal sebagai agent (manajemen perusahaan) dengan principal yaitu pemilik perusahaan (pemegang saham). Teori mengenai konflik yang dapat terjadi antara agent dan principal ini telah disampaikan sejak lama sebagai teori agensi oleh Jensen & Meckling (1976). Teori ini membahas dampak perilaku atas pemisahan kepemilikan dan kontrol yang berlaku dalam struktur dan pola manajemen profesional di perusahaan modern (Berle & Means, 1932). Pemisahan tersebut menciptakan situasi di mana pihak pengelola (agent) bergerak atas nama pihak pemilik (principal) berdasarkan waktu dan biaya yang ditentukan (Birjandi, Hakemi, & Sadeghi, 2015).
