This book brings together a number of articles, for the most part already pub lished, that develop a contemporary institutionalist approach to the study of the economic role of government. The institutionalist tradition in these matters began with the work of Henry Carter Adams on economics and jurisprudence! and Richard T. Ely on the relation of the institutions of property and contract 2 to the distribution of wealth. It continued with John R. Commons's monu 3 mental analytical and historical study of the legal foundations of capitalism, Edwin E. Witte's work on the role of government in the economy,4 and Ken s neth Parson's study of economic developmenL The approach to law and economics that is developed in this book centers on (1) an identification of the objective fundamentals of the interrelations between legal and economic pro· cesses and (2) the development of skills with which to analyze and predict the performance consequences of alternative institutional designs. We must stress that our principal goal is quite simply to understand what is going on-to identify the instrumental variables and fundamental issues and processes-in the operation of legal institutions of economic significance. We envision government as an object of legal control. We also see law as an instrument of securing economic gain and advantage-that is, as a wealth producing and -acquiring alternative.

This Liber Amicorum is dedicated to an exceptional lawyer who laid many foundations of international finance and development law - Ibrahim F.I. Shihata - in commemoration of his retirement from the World Bank after 15 years of service as Vice-President (later Senior Vice-President) and General Counsel, and Secretary-General of the International Centre for Settlement of Investment Disputes. Ibrahim F.I. Shihata's groundbreaking contributions to the theory and practice of international law arose out of his service in major international finance and development institutions. How can property rights be protected and contracts be enforced in countries where the rule of law is ineffective or absent? How can firms from advanced market economies do business in such circumstances? In Lawlessness and Economics, Avinash Dixit examines the theory of private institutions that transcend or supplement weak economic governance from the state. In much of the world and through much of history, private mechanisms--such as long-term relationships, arbitration, social networks to disseminate information and norms to impose sanctions, and for-profit enforcement services--have grown up in place of formal, state-governed institutions. Even in countries with strong legal systems, many of these mechanisms continue under the shadow of the law. Numerous case studies and empirical investigations have demonstrated the variety, importance, and merits, and drawbacks of such institutions. This book builds on these studies and constructs a toolkit of theoretical models to analyze them. The models shed new conceptual light on the different modes of governance, and deepen our understanding of the interaction of the alternative institutions with each other and with the government's law. For example, one model explains the limit on the size of social networks and illuminates problems in the transition to more formal legal systems as economies grow beyond this limit. Other models explain why for-profit enforcement is inefficient. The models also help us understand why state law dovetails with some non-state institutions and collides with others. This can help less-developed countries and transition economies devise better processes for the introduction or reform of their formal legal systems.

S'il n'existe sans doute pas de droit public économique, entendu comme une branche spécifique du droit, le droit public détermine les conditions et les modalités de l'intervention de l'Etat et des autres personnes publiques dans l'économie. La libéralisation de celle-ci, tant par l'assouplissement des règles qui la régissent que par le développement des privatisations, a certes restreint le rôle de l'Etat et la place du secteur public dans l'économie. elle n'a pas fait disparaître le droit public de l'économie, ne serait-ce que parce que c'est lui qui détermine jusqu'où et comment les institutions publiques peuvent se retirer de l'économie. C'est dans le droit public que se trouvent les principes fondamentaux de l'activité économique, au premier rang desquels la liberté d'entreprendre ainsi que toutes les libertés (en particulier de circulation) liées au droit communautaire. Les institutions publiques ont dû s'adapter, tantôt dans leur organisation, tantôt dans leurs modes d'action, pour s'occuper de questions économiques. La planification " à la française " a particulièrement cherché des innovations. Si elle est aujourd'hui dépassée, elle trouve encore des prolongements dans l'aménagement du territoire. En matière monétaire et financière, dans le domaine des prix et de la concurrence et même dans celui des relations extérieures, il existe des organes et des règles spécifiques : l'originalité des institutions (par exemple la Banque de France, la commission des opérations de bourse, le conseil de la concurrence) et des mesures qu'elles prennent (relevant plus de la régulation que de la réglementation) n'empêche qu'elles exercent un rôle qui se rattache à l'une des fonctions essentielles des pouvoirs publics : celui de la police, dont le droit public détermine classiquement l'organisation et l'exercice. Les entreprises publiques, si elles sont aujourd'hui moins nombreuses, n'en gardent pas moins une importance quantitative et qualitative. Leur statut, leur régime ont toujours présenté une certaine complexité. Leur soumission à la concurrence impose désormais à la fois une clarification et une adaptation. Le présent ouvrage, s'il est principalement axé sur le droit public interne, tient compte des implications directes du droit communautaire sur le rôle de l'Etat dans l'économie.
