Le recenti riforme della disciplina del concordato preventivo hanno ridotto la verifica giudiziale della convenienza dei piani di riorganizzazione e hanno attribuito la valutazione di merito ai creditori. Si pone quindi l’esigenza di predisporre più efficaci strumenti di tutela degli interessi delle minoranze attraverso meccanismi in grado di neutralizzare il rischio di conflitti di interessi nel procedimento deliberativo. Attraverso l’analisi e la comparazione della disciplina della riorganizzazione dell’impresa in crisi adottata in diversi ordinamenti giuridici, si individua l’interesse tutelato dalle procedure di riorganizzazione e salvataggio, distinguendolo da quello cui si rivolgono le procedure liquidatorie; si applica la disciplina del conflitto di interessi societario alla deliberazione dei creditori sulla proposta di concordato (affrontando, in particolare, il problema della mancata approvazione del piano con il voto negativo determinante di un creditore in conflitto); si individuano ipotesi di abuso del voto cui consegue una non corretta distribuzione delle risorse generate dalla riorganizzazione.
