L’autonomia privata nel rapporto dialettico tra possibilità e limiti è il risultato dell’attività di ricerca che è stata compiuta per ricostruire la fisionomia dell’autonomia privata, estraendo dati importanti dall’osservazione della decisione giudiziaria di casi pratici e concreti rivelatori di aspetti problematici e varie criticità. L’attenzione si è concentrata su fattispecie di conflitto di interesse emerse dagli specifici contesti di settore la cui considerazione è stata suggerita proprio dalla giurisprudenza, con cui è stato intessuto il dialogo interpretativo-ricostruttivo dei fenomeni giuridici espressione concreta e contestualizzata dell’autonomia privata. In particolare, premesso (capitolo primo) un preliminare inquadramento sistematico e definitorio, l’autonomia privata è stata esaminata nella sua precisa dinamica operativa, in riferimento a: criterio di meritevolezza di tutela degli interessi ex art. 1322, comma 2, cod. civ. (capitolo secondo); accordi traslativi ad oggetto fiscale nei contratti di trasferimento ed utilizzazione di beni (capitolo terzo); patti limitativi della garanzia assicurativa e clausole claims made (capitolo quarto); disciplina convenzionale delle prestazioni pecuniarie relative alla determinazione della misura di canoni e di interessi (capitolo quinto); atti di liberalità come alternative dell’autonomia privata rispetto agli schemi legali tipici (capitolo sesto); vincoli contrattuali e possibilità di scioglimento in deroga (capitolo settimo ); diritti reali tra prassi innovative e moduli normativi tradizionali (capitolo ottavo); impresa e mercato (capitolo nono); poteri delle Autorità Amministrative in generale e in particolare di quelle indipendenti (capitolo decimo).

La tesi centrale della monografia, pubblicata nel 1970, è che il richiamo all’equità integrativa di cui all’art. 1374 c.c. legittima l’intervento del giudice sul contratto, con un giudizio individualizzante, basato sulle circostanze del caso concreto, alla luce delle direttive costituzionali. Il giudice può pertanto, da un lato, dichiarare la nullità di una singola clausola reputata iniqua, o, ove essa sia essenziale, dell’intero contratto, e dall’altro ricostruire il regolamento, nel rispetto delle disposizioni di legge e dell’interesse perseguito dalle parti. La tesi ha anticipato la giurisprudenza che, a partire dagli anni ‘90, ritiene possibili, in virtù peraltro della clausola di buona fede, quegli stessi interventi.
