Boards of directors are a central feature of any corporate governance regime. The role of directors and how they affect firm value and policies is examined in depth in academic literature. However, it is easy to get both lost and overwhelmed when searching through the literature review that investigates several characteristics, often one at the time. This book provides a careful and concise look at corporate finance literature, specifically with regard to the board of directors, summarizing the main findings and reconciling them. This book documents the pros and cons associated with the various attributes of the board and the directors as found in the current literature and provides sections geared specifically to practitioners in this space, as well, allowing for a better and more comprehensive description of this important corporate governance mechanism. The resulting book aims to facilitate the interpretation of changes in corporate governance through the lens of the recent academic literature.

Within corporate governance the accountability of the board of directors is identified as a major issue by governments, international bodies, professional associations and academic literature. Boards are given significant power in companies, and as a consequence it is argued that they should be accountable for their actions. Drawing on political science, public administration, accounting, and ethics literature, this book examines the concept of accountability and its meaning in the corporate governance context. It examines the rationale for making boards accountable, and outlines the obstacles and drawbacks involved in providing for accountability. The book goes on to examine how current mechanisms for ensuring accountability are assessed in terms of fairness, justice, transparency, practicality, effectiveness and efficiency, before discussing the ways that accountability might be improved. Andrew Keay argues that enhanced accountability can provide better corporate governance, helping to reduce the frequency and severity of financial crises, and improve confidence in company practice. As an in depth study of a key element within the exercise of authority and management in corporate entities, this book will be of great use and interest to researchers and students of corporate governance, business and management, and corporate social responsibility.

The board of directors is widely regarded as a vital governance mechanism that plays an important function in business. How boards are structured, the processes in which they are involved and the role they play vary across different types of firms and countries, with significant implications on how boards perform. In Pacific Island Countries (PICs) board appointments (particularly on state-owned enterprises) are difficult to explain without the suspicion that constituency loyalty has been repaid or that other political debts have been discharged. Too often, ethnicity (the wantok system as known in the Melanesian countries of the Pacific), gender, trade-union affiliation and other forms of political correctness have become the basis for board appointments. In this book, the author takes the reader through how these factors influence the structural make-up of boards, the different processes in which boards participate and how these affect the ability of boards to perform their roles using empirical evidence from PICs. The book is a must-read for board chairpersons, board secretaries, directors, senior managers and policy-makers in PICs. Academics and the general public in PICs and elsewhere who are interested in corporate governance issues should also find this book a valuable reference.

Boards Of Directors In Disruptive Times written by Jordi Canals and has been published by Cambridge University Press this book supported file pdf, txt, epub, kindle and other format this book has been release on 2022-11-03 with Business & Economics categories.

The current business context of disruptive, accelerated change requires a new framework for understanding how boards of directors can best support their organizations. In this book, Professor Jordi Canals presents a new model of effective governance, positioning the board of directors as the steward of the firm's future development, and focusing on the notion of corporate purpose. Canals argues that boards of directors should focus on strategy and corporate transformation, CEO and senior management development and succession, the board and the firm's culture, the board as a team, the engagement of shareholders and critical stakeholders, and the firm's overall impact. Moreover, for boards to be effective, directors must develop new competencies. Drawing on well-grounded theory and international case studies, this book outlines a new, holistic model of boards of directors, offering a pathway to effective governance that will enhance companies' reputation and success.

One of the primary roles of corporate boards is to control the processes by which top executives are assessed and if necessary replaced. CEO turnover cannot be viewed in isolation because it affects the behavior of the involved players and hence interacts with other organizational goals. This monograph seeks to synthesize recent research that analyzes these interactions. I focus on a number of recurring themes, including the implications of CEO assessment and replacement on optimal contracting, board monitoring, project selection, financial reporting, and CEO selection.
