Selon un adage traditionnel du droit francais, il ne peut exister de privilege sans texte. Neanmoins, la conclusion d'un contrat permet de reserver a une personne la priorite dans la concurrence avec les tiers, en prevision d'un acte futur. Selon les circonstances, un tel avantage pourra trouver sa source dans accord de preference, ou dans une clause de l'offre concurrente, du premier refus, ou du client le plus favorise. La conclusion de tels accords est courante en prevision de ventes immobilieres, de cessions d'actions dans les societes anonymes, dans le cadre d'accords industriels, entre editeurs et auteurs d'une oeuvre future, ou encore sous la forme de contrats dits de non-sollicitation, entre un sportif amateur et un club professionnel. Du fait qu'ils ont pour objet de faire naitre priorite d'origine contractuelle, ces accords sont cependant exposes a de nombreuses causes de nullite, qui sont invocables aussi bien par les parties au contrat que par les tiers. La preference parait donc entouree de suspicion lorsqu'elle constitue l'objet d'un contrat. Cette suspicion se dissipe lorsque la preference n'est pas l'objet meme d'un contrat, mais quand elle trouve sa source a l'occasion d'une relation contractuelle, parmi ses suites objectives. La preference apparait alors comme une des realisations de l'exigence generale de bonne foi dans l'interpretation du contrat. Tel est le cas par exemple du droit preferentiel de souscription dans les societes anonymes, ou de la priorite de reembauchage a la suite d'un licenciement economique. Sous cet eclairage, l'auteur analyse diverses situations d'origine contractuelle, dans lesquelles deux personnes peuvent se trouver obligees de se reserver la preference, notamment dans les societes ou dans le domaine de la distribution commerciale. Toutefois, parce qu'elle deroge a l'egalite des chances, l'efficacite d'une telle priorite d'origine contractuelle demeure controversee

The Association Henri Capitant des Amis de la Culture Juridique Française and the Société de législation comparée joined the academic network on European Contract Law in 2005 to work on the elaboration of a "common terminology" and on "guiding principles" as well as to propose a revised version of the Principles of European Contract Law (PECL). The results of this work were sent to the European Commission and have already been published in French. The English translation is now being published by sellier.elp. This work could contribute to the wider European project. The part on the guiding principles could be a component of the CFR, in the form of "black letter" model rules or recitals. The part on terminology is, in itself, useful for the elaboration of the final various linguistic versions of the CFR. It finds its place within the materials which will accompany the model rules. Last but by no means least, the revised version of the PECL should be considered by the European institutions as an alternative set of model rules on contract law.
