l tema dei patti parasociali è tradizionalmente controverso, essendo oggetto di costanti discussioni nei diversi sistemi giuridici, come si evince anche dall’evoluzione della relativa disciplina. L’opinione consolidata, in dottrina e in giurisprudenza, si fonda sul c.d. “principio di separazione”: l’acquisizione della personalità giuridica da parte della società, e quindi la configurabilità di un nuovo centro di imputazione, determina la separazione fra l’ordinamento della società (persona giuridica) e le persone dei soci, con la conseguenza che – anche in ragione del principio di relatività del contratto – i patti stipulati dai soci non sono opponibili alla società, non potendo avere effetti sull’organizzazione societaria, e non può esservi spazio per rimedi “reali” con riferimento ad atti che non siano stati assunti nel rispetto delle regole di forma e di pubblicità previste dal diritto societario.
