La rupture est un risque sous-jacent à toute relation contractuelle. Lorsqu'elle touche un contrat international ou un contrat d'État, la rupture suscite des difficultés supplémentaires liées à l'identification et à la teneur du droit applicable. Le droit international privé offre un certain nombre de solutions aux incertitudes soulevées par le caractère international du contrat. Le choix de l'arbitrage commercial international peut toutefois permettre aux parties contractantes d'atteindre un degré de sécurité juridique supérieur quand elles, ou l'arbitre, ont fait le choix de soumettre le différend aux règles transnationales. Tel est l'objet de la démonstration ici entreprise. La rupture du contrat international et du contrat d'État fait l'objet, dans l'arbitrage commercial international, d'un régime juridique composé de règles transnationales. Celles-ci n'appartiennent à aucun ordre juridique national déterminé. Elles émergent dans la jurisprudence arbitrale par l'emploi d'une méthode syncrétique qui s'inspire non seulement des droits nationaux, mais aussi des usages et principes généraux du commerce international tout autant que des conventions internationales et des codifications savantes du droit des contrats internationaux. La rupture désigne tout autant la sanction de l'inexécution contractuelle que la prérogative de mettre fin au contrat. L'unilatéralisme inhérent à ces actes est encadré de manière à contenir le risque d'arbitraire sans toutefois faire obstacle au développement du commerce international. En premier lieu, l'inexécution est combattue par des remèdes variés imposant notamment aux parties des obligations de comportement constructif et cantonnant la rupture au rôle de remède ultime. Par ailleurs, la liberté de mettre fin au contrat à durée indéterminée ou au contrat d'État est encadrée pour ne pas dégénérer en abus. En second lieu, les règles transnationales fixent les conséquences juridiques de la rupture : le contrat est éteint avec les nuances tenant notamment à la présence d'une inexécution ; tous dommages doivent alors être réparés. À l'heure où se fait sentir un profond besoin de codification du droit des contrats qui s'est déjà traduit par plusieurs tentatives institutionnelles, les règles transnationales révélées dans l'arbitrage international offrent un exemple de grande valeur.

Under Article 38 of its Statute, the International Court of Justice can apply judicial decisions only as a “subsidiary means for the determination of rules of law”. However, there are many reasons to believe that international courts and tribunals do play quite an important role in the progressive development of international law. There are a number of decisions which are inevitably recalled as the first step, or a decisive step, in the process of the formation of a new rule of customary international law.
