Il volume presenta nuovamente al lettore il tipo della società in accomandita per azioni, “variante” meno ricorrente della più nota società per azioni e caratterizzata dalla marcata separazione tra la «proprietà» e la «gestione». Tradizionalmente impiegata nel contesto delle società familiari poste a capo dei più importanti gruppi industriali, per via delle peculiari caratteristiche che consentono all’istanza imprenditoriale di prevalere sull’istanza proprietaria, il tipo dell’accomandita per azioni sembrerebbe oggi destinato al progressivo tramonto, pur avendo registrato un momento di (apparente) rinascita durante gli anni ’80 del secolo scorso. Dopo aver ricostruito i lineamenti essenziali del tipo della «accomandita per azioni», il volume tratteggia in modo puntuale il quadro normativo cui il tipo dell’accomandita per azioni è soggetto, dando evidenza del funzionamento degli organi sociali dell’accomandita, anche alla luce degli interventi apportati dalla riforma del diritto societario alle cc.dd. società di capitali.

Yet few of us who work in the field have stopped long enough to ask where this myth originated. Did the poet observe a case of liver regeneration in a human being? Was it brilliant intuition or perhaps, literally, just a 'gut feeling' of a poet looking for good rhymes that led to the prediction that livers grow when part of the tissueisremoved? Thisbookdoesnotattemptto solve these historical issues. Itdoes, instead, cover in detail some of the major modem themes of research on liver regen eration, injury and repair. As indicated in Dr. N. Bucher's chapter, the modem phase ofexperimental studies on liver regeneration started in 1931 with the publication by Higgins and Anderson of a method to perform a two-thirds resection of the liver of a rat. The technique described has 3 remarkable features: 1) it is highly reproducible, resulting in the removal of 68% of the liver, 2) it has minimal if any mortality, and 3) it consists only of blood vessel ligation and does not involve cutting through or wounding hepatic tissue.

Partendo dall'analisi del dato normativo e della giurisprudenza di legittimità e di merito in materia, il volume affronta il tema dei controlli nella società per azioni sotto un triplice profilo: il collegio sindacale, il revisore legale dei conti e la denunzia al tribunale ai sensi dell’art. 2409. Il primo, organo che caratterizza la struttura corporativa della società sin dal codice di commercio del 1882, è lo strumento ideato per consentire, indirettamente, la vigilanza dei soci sull’operato degli amministratori, con compiti via via arricchitisi quanto a contenuto e destinatari della tutela; il secondo è un soggetto, persona fisica o società, deputato al controllo contabile, la cui importanza si è andata accrescendo negli ultimi decenni del secolo scorso, per poi affermarsi a partire dalla Legge Draghi del 1998, ricevere un notevole impulso dal d.lg. 17 gennaio 2003, n. 6, ed essere, da ultimo, meglio codificato dal d.lg. 27 gennaio 2010, n. 39; la terza, infine, si differenzia nettamente dai primi due quale strumento, anch’esso comparso nella codificazione del 1882, predisposto al fine di permettere ai soci, questa volta direttamente, di reagire di fronte al fondato sospetto di gravi irregolarità poste in essere dagli amministratori, promuovendo un controllo esterno. Il tema dei controlli ha acquisito nel tempo una rilevanza sempre maggiore per i professionisti in ambito legale, commercialistico e notarile, molte volte coinvolti, a vario titolo,in questa attività.
