Différents dans la manière d’aborder et de concevoir le groupe de sociétés, différents également quant aux solutions concrètes adoptées en la matière en droit matériel, les droits français et allemand n’en retiennent pas moins un régime de droit international privé largement identique. Chaque société du groupe est soumise à sa propre loi. Le système de rattachement des sociétés, sous l’impulsion du droit communautaire primaire et jurisprudentiel, est identique. Son critère est le seul siège statutaire de la société, qu’elle soit membre d’un groupe ou non. L’étude de la catégorie de rattachement « société » en vue d’une délimitation plus exacte de celle-ci démontre que, sauf exceptions, la lex societatis est apte à régir les multiples relations que fait naître le groupe international de sociétés. Il est constaté que les questions soulevées par le groupe international se réduisent en principe au couple société mère - filiale. La lex societatis de la filiale reçoit par conséquent une compétence de principe. L’application ponctuelle de la loi de la société mère s’explique par le respect du domaine de sa lex societatis. En matière d’insolvabilité, il est démontré qu’il est de mauvaise méthode d’appliquer le Règlement insolvabilité au groupe en vue d’un traitement global de celui-ci. Un traitement coordonné de l’insolvabilité du groupe par l’instauration d’un devoir de coopération accru semble préférable. En application du système de compétences proposé, la lex concursus applicable serait identique à la lex societatis. Enfin, les mécanismes français et allemands permettant la mise en cause de la société mère sont examinés en vue de leur qualification dans le cadre du Règlement.
