The separation of ownership and control in the modern corporation has given rise to extensive theoretical and practical speculation about the economic efficiency and managerial effectiveness of today's large, public corporation. In the case of the ten UK Buyouts studied here, a platform is presented to understand the positive effects of re-integrating ownership and control and to examine what, by contrast, has accounted for the successful performance of these companies, post-buyout.

Master's Thesis from the year 2013 in the subject Business economics - Business Management, Corporate Governance, grade: 7,5, Erasmus University Rotterdam (Strategic Management), language: English, abstract: Recent changes in the market for private equity have led investors to shift their attention away from market beta and towards generating alpha through the exploration of growth opportunities. PE firms increasingly use active ownership to implement these new growth plans. Buy and build strategies have emerged as a feasible and lucrative strategy of active ownership. The add-on acquisitions required when pursuing this strategy and the need to create value through synergistic effects necessitate post-acquisition integration efforts. Despite its relevance, researchers in the field of strategic management and finance have paid little attention to buy and build strategies. Moreover, they have yet to bridge the findings by scholars and practitioners on post-acquisition integration and active ownership. This paper seeks to fill this gap by answering the research question of how PE firms contribute to the integration process and how they handle task and affective conflicts and exercise management control with regard to the cooperation between the PE firm and the management of the portfolio company. Previous work has linked active ownership to capabilities and found that prior business experience is a strong predictor of active ownership, meaning a high level of contribution by the investment firm. This paper complements this work by analyzing active ownership of private equity firms in the context of post-acquisition integration in buy and build strategies and finds a direct link between capabilities and active ownership through four explanatory theory-building case studies. Birkinshaw et al. (2000)’s study on post-acquisition integration is used as a guiding concept in this paper. They distinguish between task integration, which is defined as the identification and realization of operational synergies, and human integration, which is defined as the creation of positive attitudes towards the integration and shared identity among employees. This paper creates a practical Framework for Integration Management on this notion and extends it by additional academic literature and relevant studies of consulting firms. A number of working propositions are derived from the literature and linked to the framework. Each proposition is then tested through within-case analysis and across-case comparison. Based on the evidence, three propositions are revised or extended whereas six propositions are supported. [...]

"The Management of Mergers and Acquisitions is far away from the perfect, polished presentations of the merchant bankers in which value creation is all too often just the result of a well-executed PowerPoint presentation. Philippe Very takes us into the real world where management is the key word - management of the expected and the unexpected, of rationality and emotions, of processes and people. He combines the expertise of the researcher with live business cases. This makes his book extremely easy and enjoyable to read and at the same time builds the knowledge and the understanding of the reader quickly and effectively. A perfect vade mecum that every stakeholder in a merger and acquisition should read: bankers, consultants, buyers, sellers, CEO’s and management." Richard Simonin, Chief Executive Officer, Harrods Ltd "Having worked with Philippe on a number of research projects, I have the highest respect for his abilities, motivation, and character. What he writes, I want to read." Mike Lubatkin, Professor of Management and Wolf Family Chair in Strategic Entrepreneurship, University of Connecticut, Professor of Management at EM Lyon "Philippe Very delivers a detailed guide to the entire merger and acquisition process – from identifying a target to completing the integration phase. His highly original style, combines cliffhanger fictional stories with authoritative research results. Both M&A professionals and business students will take away a deeper understanding of the M&A process along with action points based on real-life problems." Dr Stephen Gates, Principal Researcher, The Conference Board "At last, a lively and entertaining management book. With little or no business experience, the case studies will give you a feel for the complexity of M&A situations. With more experience, you will quickly identify with challenges that you have faced yourself. In all cases, however good your planning and anticipation skills, expect to face the unknown. You are dealing with organizations and people: each one has expectations, frustrations, and an ego." Eric Bonnot, CEO, Audax – Basic System

This book is aimed at prospective and existing managers of a Management Buy-Out or Management Buy-In. MBO / MBIs are inherently risky with failure rate being relatively high. This book can increase your chances of success, by describing some common elephant traps, bad practices and risks, and how best to avoid them. Management Buy-Outs and Management Buy-Ins are a hi-octane part of the business world. It is a high risk: high reward arena. Metaphorically an MBO/MBI is like fitting an 8 litre V12 engine into an aged VW Beetle and expecting it to perform much better than before, or as someone more colourfully put it: "a venture capitalist would expect that if you made love nine times in a night, the baby will arrive in 4 weeks." Since 1991 I have experienced 8 such deals. They vary greatly: staggering success to the verge of financial oblivion - and fortunately back again. The deals have ranged across very different markets; from the highfalutin world of global drug discovery in mythical Tintagel to heavy metal bashing (Dustcarts) in the West Midlands. The deals have been backed by many different Venture Capitalists and financed by UK and international banks. I have carried out a variety of roles across these deals: Chairman, Executive Director, Non-Executive director and as a personal Coach to a Managing Director. I have been very fortunate to have seen many MBO / MBIs through the prism of management since 1991. I have also attempted to make, what can be a serious and turgid subject easy-reading and on occasions perhaps almost entertaining!
