Studienarbeit aus dem Jahr 2006 im Fachbereich VWL - Sonstiges, Note: sehr gut - 1,3, Universität Bayreuth (Lehrstuhl VWL V - Institutionenökonomik), Veranstaltung: Projekttutorium zur Intitutionenökonomik, Sprache: Deutsch, Abstract: Beobachtet man den Markt für Merger & Acquisitions (M&A) stellt man fest, dass nach den meisten Untersuchungen mehr als die Hälfte dieser Unternehmenszusammenführungen zum Scheitern verurteilt sind, d.h. sie bringen nicht die erwarteten Erträge und Synergiegewinne. Angesichts des Aufwands, der im Vorfeld solcher Zusammenführungen von Analysten, Investmentbankern, Juristen usw. getrieben wird, um mit Bilanzanalysen, Due Diligences und Unternehmensbewertungen die Erfolgsaussichten der Zusammenführungen zu bewerten und man annehmen darf, dass sie nur bei positiven Aussichten auch durchgeführt werden, ist das ein erstaunliches Ergebnis. Genauso erstaunlich ist, dass auch mit zunehmender Erfahrung keine Reduktion der Misserfolge durch Lerneffekte bei den Unternehmen und ihren Beratern auftreten. Die Frage nach den Gründen hierfür ist daher auch die Leitfrage dieser Arbeit. Die Hypothese ist hier, dass es für die Beurteilung der Erfolgsaussichten von Unternehmenszusammenführungen auch andere Aspekte hinzugezogen werden müssen, namentlich Faktoren, die man grob als Kultur, Normen oder informelle Institutionen bezeichnen kann. Die Rechenverfahren, die für die Begründung und Fundierung einer Fusionsentscheidung verwendet werden, berücksichtigen nur Faktoren, die direkt monetär erfasst werden können, weil die Verantwortlichen meist nur auf diesem Gebiet über Expertise verfügen. Tatsächlich spielen aber auch viele nur schlecht quantifizierbare Faktoren eine entscheidende Rolle dabei, ob die Fusion die erhofften Synergieeffekte erziel oder nicht. Hauptsächlich wird es in der Arbeit darum gehen, wie sich die informellen Institutionen im Unternehmen über die Zeit entwickeln, um anfallende Probleme effizienter zu lösen, d.h. Transaktions- und Koordinationskosten zu senken. Informelle Institutionen liegen in den Unternehmen in Form von Routinen, Konventionen und Unternehmenskultur vor. Wenn nun zwei solche Systeme informeller Institutionen fusioniert werden, müssen sich in einem Prozess erst wieder verschiedene Routinen einstellen, was Koordinationskosten erhöht und – weil diese von den gängigen Bewertungsverfahren nicht berücksichtigt werden – zum Scheitern so vieler Merger & Acquisitions beitragen. Im ersten Teil der Arbeit werden die gängigen M&A-Bewertungsverfahren dargestellt. Im zweiten Teil werden informelle Institutionen erläutert und formalisiert und im dritten Teil in einem evolutions- und spieltheoretischen M&A-Modell zusammengeführt.
