La comparaison du financement des entreprises françaises et allemandes sur plusieurs années conduit à constater un certain nombre de différences. La théorie financière propose des modèles explicatifs de la structure de financement, qui sont, cependant, souvent peu explicites concernant leurs présupposés institutionnels. Face à cette situation, des travaux empiriques ont permis d'établir des résultats partiels encourageants par rapport à certaines hypothèses théoriques, tout en concluant à une compréhension encore largement insuffisante des mécanismes à l'œuvre dans la détermination des choix de financement. Dans ce contexte, l'étude de l'impact des différents systèmes de gouvernement des entreprises apparait notamment comme une piste de recherche prometteuse. Dans le prolongement de la théorie de l'agence et en nous inspirant d'une approche évolutionniste de la théorie institutionnelle nous développons un cadre conceptuel, qui suppose une relation dynamique entre les structures de gouvernance et la politique de financement du dirigeant. Cette explication générale, afin de pouvoir être soumise à l'épreuve des faits, doit ensuite être contextualisée. Par conséquent le test de plausibilité de nos propositions théoriques, qui repose sur deux études de cas nécessite la description des « règles du jeu » pertinentes en matière de politique de financement et qui s'appliquent à différents moments aux dirigeants des deux entreprises étudiées. Dans ce contexte, outre l'évolution des cadres institutionnels englobants de la France et de l'Allemagne celle des structures locales de gouvernance doit être examinée. L'histoire financière des groupes Usinor et Thyssen, étudiée sur une dizaine d'années renforce alors globalement notre confiance en « l'acceptabilité » de la grille théorique proposée.

Financial Crises and the Limits of Bank Reform examines the responses that were implemented in France and Germany, two comparable European economies, in the aftermath of the global financial crisis from 2007/2008 with respect to the future economic role of the banks. While France pushed for greater independence from the banks by strengthening financial disintermediation and non-bank intermediation, Germany supported classic bank intermediation. Analysing the reasons for this puzzling difference, this book shows that the main lessons drawn from the crisis were the consequence of differing patterns of social learning, leading to changes in widely shared beliefs of specific aspects of banking. While these were related to the conditions of bank lending and the limits of bank intermediation in France, in Germany they were linked to the risks of financial innovation and financial sector concentration. The book draws on an in-depth analysis of French and German banking and financial sector reforms in the decades prior to the crisis, crisis management, and the responses implemented in the aftermath, featuring extensive interview data with over 70 professionals in addition to profound document and data analysis. It discusses alternative theoretical approaches and spells out the ontological foundations and behavioural implications of the social learning approach to policy change. Contrary to other accounts of the post-crisis reforms concentrating on regulatory change, the author focuses on how evolving financial practices and reform priorities mutually condition each other over time, forming distinctive developmental paths. As this book shows, it is only once we embed the reform options chosen in their specific institutional and socio-economic context that we fully understand the driving forces behind the post-crisis reforms.

A Europe Made of Money is a new history of the making of the European Monetary System (EMS), based on extensive archive research. Emmanuel Mourlon-Druol highlights two long-term processes in the monetary and economic negotiations in the decade leading up to the founding of the EMS in 1979. The first is a transnational learning process involving a powerful, networked European monetary elite that shaped a habit of cooperation among technocrats. The second stresses the importance of the European Council, which held regular meetings between heads of government beginning in 1974, giving EEC legitimacy to monetary initiatives that had previously involved semisecret and bilateral negotiations. The interaction of these two features changed the EMS from a fairly trivial piece of administrative business to a tremendously important political agreement. The inception of the EMS was greeted as one of the landmark achievements of regional cooperation, a major leap forward in the creation of a unified Europe. Yet Mourlon-Druol’s account stresses that the EMS is much more than a success story of financial cooperation. The technical suggestions made by its architects reveal how state elites conceptualized the larger project of integration. And their monetary policy became a marker for the conception of European identity. The unveiling of the EMS, Mourlon-Druol concludes, represented the convergence of material interests and symbolic, identity-based concerns.
