Inhaltsangabe:Abstract: Asset-backed securities (ABS) are an innovative capital market instrument, and can be defined as homogenous, financial, cash flow producing, illiquid assets, which are separated from other company assets, transferred to a third party and used as collateral for securities issued on the capital market. The question to be answered in this study is: In how far does the market segment of asset-backed securities contain potential for private investors as an interesting investment alternative? This is of interest for commercial banks for broadening their investment product range and following innovation in order to stay competitive in a highly contested market. The empirical research consists of exemplary case studies of recent ABS issuances, dialogs with experts in the field of asset securitization and complementary data on the current market situation. After a close examination of the obtained data, the conclusion to be drawn is that asset-backed securities are an interesting investment alternative for private investors and the market segment can be entered indirectly through mutual funds, since a direct investment is hindered by several market conditions. The positive risk-return ratio in comparison to other alternatives and the innovative character of ABS makes them an attractive component of private investment portfolios. In the light of a trade tax law change in favor of special purpose vehicles for true sale transactions and plans for a common ABS platform by several large German banks, commercial banks should consider launching ABS mutual funds and marketing them to retail clients in order to profit from the positive side effects on the investment business from growing supply on the credit side of this market segment. Nevertheless, it is not unusual for companies to have very high values in receivables. Especially for companies with a turnover of more than 100 million the receivables grow to a value of 10 million or more (IKB (2005), p.1). This capital is usually unavailable for the company; it may become available using Asset Securitisation to refinance the receivables. The influence of Basel II on the behaviour of credit institutions further reinforces the importance of Asset Securitisation as a tool for companies to improve the capital costs and the balance sheet rations as the investigation in this paper will point out. This again has implications for the rating of enterprises. Due to the growing interest in Asset Securitisation, a lot of research has been done by the European financial institutions. In the second part of this paper, the question of a definition and of the basic structure of an Asset Backed Security will be examined. Furthermore the requirements for an Asset Securitisation in respect to the portfolio of assets will be explained. The third part of this paper is concerned with the possibilities of traditional ABS for companies, that are carried on by the advantages and disadvantages of Asset Securitisation for the participants. Within structured finance the questions of adding value for the different participants within structured finance transactions is examined. In the forth part the possible use of structured finance products for enterprises is described examining especially the question of where value is added. Finally the last part gives an overview of the current situation of the European market for structured finance products and ABS and its projected developme

In the 1980's significant technological advances assisted in the Securitization process, which enabled banks to hedge their credit-risk exposure by means of Securitization. Securitization was ranked amongst the big developments in the past years, like De-regulation, Globalization, Internationalization and the increasing permeation of technology. Securitization can be defined as a process of packaging individual loans and other debt instruments, concerting the package into a security, and enhancing their credit status or rating. Whereas the eighties were the age of securitization, one could describe the nineties as the age of asset securitization.[...] The worldwide issuance of assetbacked securities is expected to grow enormously in the future. In the 1990's we have seen a notable shift from the traditional loan financing to Securitization of bank assets within financial markets. The ABS has and remains to be an important form of balance sheet financing for financial institutions. Securitization is a widely used mechanism by financial institutions which add value to investors/shareholders and stakeholders if implemented in it's eligible framework. Since the proposed Financial Services Modernization Act of 1999 came into effect, the Glass-Steagall Act of 1933 which previously imposed restrictions on the integration process of banks, insurance and stock trading was eradicated; consequently: Boundaries between governments and markets were redrawn. This enabled consenting bankers the liberty to utilize mechanisms, which imparted in trail-blazing structures being introduced into the market. Moreover, dexterous bankers who have the capability to understand the complicated nature or intricacy of these structures did use them for their benefit by exploiting lacunas or setbacks in both the product and market sphere of the system.
