Scientific Essay from the year 2010 in the subject Leadership and Human Resources - Miscellaneous, grade: 1,7, Griffith University, language: English, abstract: 1. Introduction Although mergers have become a popular strategy to reach organisational growth, diversify products, or obtain competitive advantage, the amalgamations do not always lead to improvement and success and often fail, as mergers are accompanied with several severe potential problems (Pikula, 1999). For this research report, the case Grape Expectations: A Case Study of the Southcorp-Rosemount merger, written by John Rice and Peter Galvin and published in 2005, serves as basis for the identification of a problem related to mergers. The study deals with the acquisition of Rosemount Estates by Southcorp Wines in 2001. In this context, it analyses the strategic drivers of the merger, and the tensions and benefits resulting from the acquisition. This research report will examine the merger syndrome in detail, which is one major problem out of many issues related to mergers. The paper will identify the major negative consequences of the merger syndrome and analyse how to deal with it. It will argue that, for managers, the best way to deal with the merger syndrome is to provide good communication to calm and motivate employees and also a retention programme in order to assure employees’ loyalty to the company during the merger.

If 75 percent of all mergers fail, what makes the other 25 percent succeed? Mergers, acquisitions, and alliances are more vital today than ever before in driving business success. This indispensible guide offers proven strategies and sound solutions to the multitude of integration issues that inevitably arise, and shows how to create a combined business that meets its strategic and financial objectives, competes better, and offers personal and organizational enhancements. Dubbed "merger mavens" by Fortune magazine, the authors report lessons learned from their experience in over 100 combinations. Executives, managers, and employees alike in all industries and sectors will find useful examples, strategies, and tools here. Praise for Joining Forces "This book will help both M&A veterans and those new to the game. The authorsprovide great insights into the human, cultural, organizational, and strategic factors that matter in M&A success." Richard Kovacevich, chairman and CEO emeritus, Wells Fargo & Co. "Don't commit to the merger or acquisition without them! I have personally witnessed how hard it is on everyone employees, shareholders, communities, and especially executives to work through an improperly managed merger. I have known Marks and Mirvis for almost twenty-five years and the only mistake our organization made was that we did not consult them soon enough. Their new book reflects unequalled experience and intellect. Don't merge, acquire, or be acquired without it!" Michael R. Losey, CEO (emeritus), Society for Human Resources Management (SHRM) "Joining Forces is a terrific resource for managers who want to understand thehuman dynamics of mergers and acquisitions, and a must-read for those who have to lead their companies through one. It is based on the latest research and providespractical insights and advice from authors who know M&A inside out." Edward E. Lawler III, Distinguished Professor of Business, Marshall School ofBusiness, University of Southern California

Just as mergers and acquisitions begin to take off once again, this book reminds us that the emotional side of business is often at the heart of success and failure. With a terrific mix of case studies and in-depth conceptual thinking, Managing Emotions in Mergers and Acquisitions addresses the most fundamental of all issues in M&As how and why people sometimes disrupt the best merger plans, simply because they are, well, people. Sydney Finkelstein, Professor of Strategy and Leadership at the Tuck School at Dartmouth College, and author of Why Smart Executives Fail This is a very welcome addition to our knowledge on M&A process. This is an in-depth study on emotions, how these are effected due to M&A activity in two firms and how they influence the process itself. It helps us to understand, what emotions are? How we can deal with them? And, Why do M&As so often fail? It offers state-of-the-art knowledge on this complex phenomenon. The four cases present in depth and extremely rich insight into how emotions actually work and influence the success/failure in M&A process. In conclusion, it is a timely and innovative book which is a must read for anyone interested in mergers and acquisitions. Pervez Ghauri, University of Manchester, UK Research suggests that an increasing number of people experience organisational changes such as mergers and acquisitions as highly emotional life events. Indeed, given that, as the authors prove, 70% of all mergers and acquisitions fail to reach their initial goals largely because of neglected people issues, it is a must for every manager and M&A researcher to understand the emotional side of such change processes. This fascinating book explains how managerial behaviour and communication styles influence the emotions of employees and affect their readiness to contribute to a successful post-merger integration. It combines emotion theories from other disciplines with recent M&A findings, and offers practical implications through illustrative case studies. Academics and practitioners will find the combination of management literature with psychology and sociology literature of great interest.

Mergers and Productivity offers probing analyses of high-profile mergers in a variety of industries. Focusing on specific acquisitions, it illustrates the remarkable range of contingencies involved in any merger attempt. The authors clearly establish each merger's presumed objectives and the potential costs and benefits of the acquisition, and place it within the context of the broader industry. Striking conclusions that emerge from these case studies are that merger and acquisition activities were associated with technological or regulatory shocks, and that a merger's success or failure was dependent upon the acquirer's thorough understanding of the target, its corporate culture, and its workforce and wage structures prior to acquisition. Sifting through a wealth of carefully gathered evidence, these papers capture the richness, the complexity, and the economic intangibles inherent in contemporary merger activity in a way that large-scale studies of mergers cannot.
