Esta obra, fruto dos estudos realizados no âmbito do programa de mestrado da Faculdade de Direito Milton Campos, propôs-se a analisar a responsabilização das companhias abertas por danos aos investidores no mercado de capitais em razão de atos praticados pela administração, abrangendo a relação entre as responsabilidades do administrador e da companhia frente aos investidores. Para tanto, refletiu-se sobre a experiência no mercado de capitais dos Estados Unidos da América por meio das teorias da Fraud-On-The-Market e Business Judgment Rule, além da evolução e uso das Class Actions e ponderações doutrinárias a seu respeito, tendo por referência os resultados práticos já identificados de sua aplicação. Portanto, o estudo trouxe para a realidade brasileira algumas ponderações à responsabilização das companhias abertas, em especial, aos eventos que evolveram a Petrobras nas últimas décadas, decorrentes da inobservância das obrigação inerentes ao administrador, parametrizando-as com experiências estrangeiras e análises da doutrina nacional e internacional. A obra centra-se nas atribuições do administrador, seus deveres e personalização da companhia, perpassando pelas consequências de suas ações para a personalidade jurídica a qual "presentam", relacionando-as aos eventuais atos ilícitos perpetrados e ao cabimento das ações de responsabilidade civil e apuração de danos ao investidor.
