Nach Jahren der Deregulierung setzt Japan im Gesellschaftsrecht zunehmend auf Soft Law und Selbstregulierung: Der Stewardship Code fur institutionelle Investoren und der Corporate Governance Code sollen althergebrachte Strukturen aufbrechen und durch mehr "konstruktiven Dialog" zu einer wachstumsorientierten Governance beitragen. Trotz hoher Befolgungsquoten, etwa bei der erfolgreichen Verbreitung externer Direktoren, sorgen sich die Regulatoren, dass die Umsetzung auf einem rein formalen Niveau verharrt. Ein paralleles Experiment mit dem comply-or-explain- Mechanismus auf gesetzlicher Ebene wurde nach nur wenigen Jahren wieder beendet. Michael Pfeifer argumentiert, dass die Ursachen hierfur auch in einer eher schwach ausgepragten Rolle des Legitimationsgedanken im Umgang mit Soft Law zu suchen sind. Die Grundlage hierfur bietet ein Diskursvergleich zwischen Deutschland und Japan.
