L’opera costituisce la prima monografia dedicata ai rapporti tra operazioni societarie straordinarie e diritto concorsuale. In un approccio interdisciplinare alle problematiche trattate, unisce la prospettiva giuridica con quella aziendalistica, cercando di fornire a tutti coloro che operano nel mondo concorsuale un’analisi sistematica in grado di sviluppare un’adeguata comprensione di fenomeni particolarmente complessi come quelli delle operazioni straordinarie nell’ambito delle crisi aziendali. Operazioni straordinarie, come la fusione e la scissione, si prestano a consentire riassetti idonei per la gestione delle crisi aziendali, anche in sede concorsuale, sia in ipotesi di ristrutturazione del debito, che in quella di risanamento. Le operazioni su capitale sociale attuate nella fase della crisi di impresa si rivelano sia come strumento di riorganizzazione del finanziamento sia come modalità di possibile soddisfazione dei creditori, anche in eventuale combinazione con le operazioni corporative come la fusione, la scissione e la trasformazione. Queste ultime, già dalla riforma del diritto societario del 2003, hanno, inoltre, assunto un rilievo sistematico anche nell'ambito degli enti non profit, evidenziando anche in tali casi, grazie alla legge sul sovraindebitamento, possibili impieghi in chiave di riorganizzazione e di ristrutturazione del debito. La Guida esamina le rilevanti novità intervenute nel corso del 2015 in tema di crisi di impresa in ambito sia civilistico che fiscale. Tra le principali modifiche apportate con la mini-riforma della Legge Fallimentare per agevolare la risoluzione della crisi d’impresa si segnalano quelle legate alle proposte concorrenti e al nuovo istituto delle offerte concorrenti dei creditori, ai contratti pendenti, agli accordi di ristrutturazione dei debiti nei casi in cui l’impresa abbia contratto debiti con banche o altri intermediari finanziari in misura prevalente. Un’assoluta novità all’interno della Legge Fallimentare è poi rappresentata dall’introduzione dell’istituto della convenzione di moratoria con intermediari finanziari. Dopo l’esame della miniriforma della Legge Fallimentare, la Guida esamina le disposizioni che mutano taluni degli effetti fiscali generati dalla crisi d’impresa: dalle rinunce dei soci ai crediti, alla riduzione dei debiti, al regime fiscale delle perdite su crediti vantati sia dalle banche sia da imprese non finanziarie.
