This paper provides an overview of the major State-Owned Enterprises (SOEs) in Greece with the aim of identifying the key features of the dominant paradigm and the critical turning points in its evolution. The process of SOEs' reform is analysed with reference to corporatization, restructuring, privatization and liberalization policies. Drawing on theoretical and empirical evidence, the paper explores the impact of these reforms on the ownership, governance and public mission of SOEs, also addressing their current social and economic role. The hypothesis of a 'paradigm shift' is tested within the changing context of government intervention, market structure, management relationships, public service and control and accountability of SOEs. The case studies include 15 major enterprises in key economic-industrial and utility sectors. The paper concludes that over the past two decades the SOE sector has shifted towards new governance and organizational patterns that have substantially affected the traditional SOE paradigm.

In the last twenty years Indonesia and Greece have been seeking to profitably privatise the majority of their state-owned enterprises (SOEs) and assets. This obligation is either imposed by international institutions such as the International Monetary Fund (IMF) and the World Bank in order to repay their international external debts or by fiscal arrangements which require the elimination of their public financial deficits and the maintenance of their governmental spending. Both countries are struggling to develop, organise and institutionalise an efficient privatisation framework, to attract private investment and generate stable cash flows. In exploring the historical background of their economic development and contemplating on the recent financial Greek crisis by making a comparison with the past Indonesian financial crisis (1997-1998), their route in this privatisation path seems mutual.In the introduction to the article, the authors will briefly demonstrate the historical and economic reasons which led both countries to aspire towards privatisation. The development of the Indonesian and Greek privatisation schemes and policies will be thoroughly examined. A comparative analysis will reveal to what extent the privatisation processes in both countries have caused negative impacts. A detailed description of the existing legal regimes will provide a clear view of the present legal frameworks applicable to privatisation in these countries. The chapter will conclude with a normative analysis which generates useful observations and recommendations on how a Corporate Social Responsibility (CSR) framework could be introduced into the current privatisation schemes to alleviate the negative impacts of the privatisation process.Implementing this CSR framework would embrace the principles of social justice, general interest and sustainable development as described in the Indonesian 1945 Constitution and the Greek Constitution of 1975. Particularly, the authors will examine how a CSR new policy could be implemented in the new privatisation vehicle currently established by the Greek government, under the name Hellenic Republic Asset Development Fund (HRADF). Furthermore, the authors will explore how some particular aspects of CSR could be introduced in a new Indonesian ministerial regulation about the privatisation of SOEs.

The Greek local self government's role in public utilities management and, more generally, in the provision of public interest services was steadily increasing for nearly six decades. Mainly from the 80's onwards, when the powers of local government expanded significantly, local government became the major provider of such services. Furthermore, state-owned companies managed large-scale public utilities in metropolitan areas (water supply) or nationwide (electricity). Since such industries in a medium-sized country like Greece constitute natural monopolies, the dominant role of the state and the municipalities in their management was legitimized. Even when, in the 90's and chiefly the 2000's, under the influence of ideological but also operational imperatives state and municipal public utility agencies opted more flexibility and market orientation, the solutions adopted weren't privatizations but businesslike models under municipal and state ownership. While public entities were transformed in commercial enterprises operating under the private law and even listed on the stock-market, the majority of the shares remained with the state, local government and other public entities. Recently, under the pressure of the sovereign debt crisis, major privatization projects are included in the political agenda. Such privatization projects of public utilities seem to be guided exclusively by budgetary and public finance criteria. Therefore they cannot be easily associated with broader public interest concerns in the relevant policy fields.
