La publicación de la Propuesta del Parlamento Europeo y del Consejo sobre Mercados de Criptoactivos para aprobar en 2021 un Reglamento (EU) está generando expectación máxima en los mercados financieros regulados y también en la industria de blockchain. La tokenización o conversión en fichas (tokens) de créditos genera extraordinarias posibilidades para la digitalización del sistema financiero y para la consolidación de una economía P2P descentralizada y distribuida gracias al uso de la tecnología de registros distribuidos, que permite representar valor a través de estas fichas, negociadas según el protocolo y procedimientos criptográficos específicos. El autor, Javier Ibáñez Jiménez, integrado en la MiCA Task Force de INATBA para la redacción del texto final del Reglamento que presentará la Comisión Europea, propone, desde su experiencia como líder de la Comisión de Investigación y Transferencia Tecnológica de Consorcio Red Alastria, una adecuación de las categorías conceptuales y taxonómicas vertidas en la Propuesta original (draft de septiembre de 2020) a las del Derecho contractual y registral español, abriendo líneas de debate y consideraciones exegéticas novedosas sobre temas tan controvertidos como la naturaleza jurídico-privada de los tokens-valor, su posible consideración como última fase de la evolución histórica de los títulos de crédito, o los límites de la aplicabilidad en redes permisionadas de los principios de registración hipotecarios a determinados tipos de registros de tokens de inversión (investment tokens) creados con la finalidad de propiciar la circulación de los créditos subyacentes a los tokens y facilitar la legitimación activa y pasiva de los emisores. Estos temas y otros colaterales se desarrollan en la monografía, que no deja sin tratar aspectos referentes al régimen de los tokens de servicio, las fichas sobre mercancías negociables, o los denominados tokens híbridos o mixtos, sin perjuicio del análisis relativo a la estructura de la nueva supervisión colegiada que realizarán las autoridades nacionales competentes para el control administrativo de las redes DLT y de los nuevos intermediarios de mercado, especialmente los custodios de activos de reserva y de sus correspondientes claves privadas criptográficas, instrumento necesario de legitimación del inversor.
