The goal of economic efficiency is to promote best outcomes by maximizing the satisfaction of people's preferences. Given the crucial role of outcomes in efficiency analysis, surprisingly little attention has been devoted to the question of what an outcome actually is. Law-and-economics scholars typically disregard this issue, implicitly adopting the narrowest possible definition of outcome, namely end-results in terms of wealth. Furthermore, no attempt has been made to examine the fundamental question of what notion of outcomes individuals actually embrace.This Article aims to fill this void by presenting an experimental study of perceptions of outcomes, conducted with both laypersons and experienced businesspeople. The findings demonstrate that individuals embrace a broad conception of outcomes, one which includes various factors beyond end-results. Specifically, factors such as how the outcome was brought about, the identity of the parties involved, the voluntariness or non-voluntariness of their behavior, and the intentionality or non-intentionality of their acts significantly affect the value of the outcome.These findings are highly relevant for the economic analysis of policies, legal rules, institutions, and the like. Since efficiency analysis aims at maximizing welfare, measured by the extent to which preferences are fulfilled, it should take into account the prevalent broader perception of outcomes. A narrow definition of outcomes, customary in the economic analyses of legal issues, may actually lead to inefficiency. The existing deficiency in efficiency analysis can be easily corrected, as demonstrated in several contexts, including the efficient breach doctrine, takings of property, the choice between property rules and liability rules, and decentralization schemes.

Economic analysis of corporate takeovers has traditionally advocated legal doctrines that ensure a target company in a takeover contest is acquired by the bidder willing to pay the most for it. The reason stems from the conventional assumption that a bidder's offer price should reflect its ability to put target's assets to productive use. This Article challenges this assumption by turning to the success of private equity firms in outbidding publicly-traded, strategic bidders during the recent takeover wave. Using standard valuation modeling, the Article reveals how a critical component of any bidder's valuation of target stems from its source of acquisition financing. Specifically, a bidder's ability to finance a takeover with debt can lead to a significant increase in its valuation of target owing to a de facto government subsidy created by the deductibility of interest payments. Simultaneously, however, not every bidder has the ability to utilize debt-financing to the same extent - a point emphasized in forty years of finance research. The result is that during periods of robust credit markets such as occurred during 2004-2007, the highest bidders in takeover contests may often be those bidders such as private equity firms who are capable of using large amounts of debt-financing. By highlighting the critical role of finance in explaining bidder valuations, this Article illustrates how accurate economic analysis of takeovers requires careful attention to bidders' divergent financing decisions. Indeed, by failing to take finance seriously, traditional takeover scholarship may very well be advocating legal rules that promote inefficient takeovers.

The Life-Course of Serious and Violent Youth Grown Up addresses significant gaps in the literature on youth involved in chronic, serious, and violent offending. Through longitudinal research and a long follow-up into adulthood, it challenges common perceptions about offending outcomes. Using theoretically grounded, methodologically sophisticated and empirically driven research, this book culminates 20 years of data emerging from the Incarcerated Serious and Violent Young Offender Study (ISVYOS). Initiated in 1998 to understand the origins of serious and violent youth offending, it follows 1,719 formerly incarcerated youth through adulthood and offers a contemporary perspective to questions about chronic offending in adolescence and social and offending outcomes in adulthood. The authors provide a theoretically framed examination of new findings from the ISVYOS regarding participants’ justice system involvement, from onset to persistence to desistance. Most participants experienced continued involvement in the justice system in adulthood. However, contrary to past literature, ISVYOS findings challenge static descriptions of chronic offending and notions of the youth "super predator". ISVYOS findings also challenge assertions that experiences and risk factors in childhood and adolescence are not informative of adult justice system involvement. Together, the findings call for a more humanistic approach that recognizes that the complex lives of individuals formerly incarcerated in adolescence implies that desistance does not happen by default. This book will be of great interest to scholars, researchers, and students of forensic psychology, developmental and life course criminology, youth justice, and violent crime.
