The most common business enterprise form in Germany today is the Gesellschaft mit beschränkter Haftung (GmbH). The GmbH offers entrepreneurs the partnership's flexibility combined with limited liability, capital lock-in, and other traits associated with corporations. Earlier enterprise forms such as the partnership and corporation were codified versions of longstanding practice; the GmbH, on the other hand, was the lawgiver's creation. Authorized in 1892, the GmbH appeared during a period of ferment in German enterprise law and was an early example of the "Private Limited-Liability Company" (PLLC) prevalent in many economies today. This paper traces the debates and the legislative process that led to the GmbH's introduction. The new form reflected challenges created by the corporation reform of 1884, problems in German colonial companies, and the view that British company law had put German firms at a competitive disadvantage. Many new enterprises adopted the GmbH, but significant sections of the financial and legal community harbored strong reservations about this legal innovation.

The limited liability company (GmbH) was created by the German legislature in 1892 as a company form without any historical forerunners or suggestions from comparative law. It brought about a readjustment of the relationship between the chance of profit and the liability risk. However, criticism from the jurisprudence that had not been included in the quick legislative process was also heard from the start. As early as 1892, Levin Goldschmidt expressed concern that the GmbH would replace 'principally more solid forms of company'. However, this criticism did not prevent the company form of the GmbH from being adopted in numerous European countries, or at least seriously considering its reception.

Durch § 6 GmbHG wird zwingend das Vorhandensein eines oder mehrerer Geschäftsführer vorgeschrieben. Damit besitzt jede GmbH bereits nach dem Normalstatut zumindest zwei Organe - die Gesellschafterversammlung und die Geschäftsführung. Durch das in § 37 Abs. 1 GmbHG verankerte Weisungsrecht wird den Gesellschaftern die Möglichkeit gegeben, die Geschäftsführungsbefugnis der Geschäftsführer jederzeit Beschränkungen zu unterwerfen. Durch die Flexibilität des GmbHG werden die Gesellschafter also in die Lage versetzt, sich entweder aktiv in die Geschäfte der Gesellschaft einzuschalten, oder sich aber auch nur in die passive Rolle des Kapitalgebers zu begeben. Ist der Umfang der jeweiligen Kompetenzen von Gesellschafter und Geschäftsführern unklar, so führt dies oftmals zu Konflikten in der Gesellschaft. Daher besteht die Notwendigkeit, einerseits die Reichweite der Geschäftsführungsbefugnis und andererseits den Umfang und die Grenzen des Weisungsrechts zu konkretisieren. In der vorliegenden Untersuchung wird zunächst lediglich die mitbestimmungsfreie GmbH betrachtet, da es sich bei dieser um die am häufigsten in Erscheinung tretende Form der GmbH handelt. Es wird dabei besonderes Augenmerk auf die Voraussetzungen gelegt, die für das Zustandekommen einer Weisung notwendig sind. Hier soll vor allem auf das Verhältnis der Organe zueinander, sowie deren Aufgaben und Kompetenzen eingegangen werden. Anschließend werden die unterschiedlichen Arten von Weisungen sowie der weisungsfreie Bereich der Geschäftsführer untersucht. Abschließend werden dann noch einige Überlegungen bezüglich möglicher Unterschiede zwischen der mitbestimmungsfreien und der mitbestimmten GmbH angestellt.
